  • Officers Certificate” means a certificate signed on behalf of the Company by two Officers of the Company, one of whom must be the principal executive officer, the principal financial officer, the treasurer or the principal accounting officer of the Company, that meets the requirements of Section 12.05 hereof.

  • Named Executive Officer or “NEO” means each of the following individuals:

  • Senior Officers are the employees of the Company, at the relevant time, holding one or more of the following positions or equivalent thereof of the Company: Chief Executive Officer, President, Senior Vice President, Chief Operating Officer, Chief Financial Officer, and Chief Administrative Officer.

  • Executive Committee means the Executive Committee of the Board.

  • Seattle Human Resources Director means the director of the Seattle Department of Human Resources or his or her designated management representative.

  • Non-Executive Directors means the Directors who are not in whole time employment of the Company.
