Other Acts. The Indemnitor and the Indemnitee agree that they shall do all such further acts, deeds or things and execute and deliver all such further documents, instruments or certificates as may be necessary or advisable for the purpose of assuring and confirming unto the Indemnitee the rights hereby created or intended, and of giving effect to and carrying out the intention or facilitating the performance of the terms of this Agreement.
Other Acts. From time to time, do and perform any and all acts and execute any and all documents as may be necessary or as reasonably requested by the Facility Agent or the Indenture Trustee in order to effect the purposes of this Agreement and to protect the interests of the Lenders in the Floating Rate Note and the interests of the Lenders in the Guarantees.
Other Acts. To execute, acknowledge and deliver all other instruments and documents in the name of Trustor that are necessary or desirable, to exercise Trustor's rights under all contracts concerning the Site or the Project, including, without limitation, under any Space Leases, and to do all other acts with respect to the Site or the Project that Trustor might do on its own behalf, as Beneficiary, in its reasonable discretion, deems proper.
Other Acts. Execute and deliver, or cause to be executed and delivered, to Agent all further documents and perform all other acts and things which Agent deems necessary or appropriate to protect or perfect its mortgage or security interests in any property directly or indirectly securing payment of any indebtedness of the Company to Agent or a Bank.
Other Acts. Each Obligor agrees to use its commercially reasonable efforts to do or cause to be done all such other acts as may be necessary or otherwise reasonably requested by the Administrative Agent or the Required Lenders to make such sale or sales of all or any portion of the Pledged Shares pursuant to this Section 6.05 valid and binding and in compliance with all other applicable legal requirements. Each Obligor further agrees that a breach of any covenant contained in this Section 6.05 will cause irreparable injury to the Secured Parties, that the Secured Parties have no adequate remedy at law in respect of such breach and, as a consequence, that each and every covenant contained in this Section 6.05 shall be specifically enforceable against such Obligor, and such Obligor hereby waives and agrees not to assert any defense against an action for specific performance of such covenants except for a defense that no Event of Default has occurred and is continuing under the Credit Agreement.
Other Acts. To perform all other acts the Trustee deems necessary, suitable, or desirable for the control and management of the Trust and discharge of its duties. Notwithstanding the foregoing, the Trustee shall have, without exclusion, all powers conferred on trustees by applicable law, unless expressly provided otherwise herein.
Other Acts. Lender may do all such other things and acts with respect to the Property as Lender may deem appropriate and may act exclusively and solely in the place and stead of Grantor and to have all of the powers of Grantor for the purposes stated above.
Other Acts. From time to time, the Guarantor shall do and perform any and all acts and execute any and all documents as may be necessary or as reasonably requested by Ex-Im Bank in order to effect the purposes of the Agreement.
Other Acts. Glenborough and each General Partner covenants on behalf of itself and its successors, heirs and assigns to execute, with acknowledgement, verification or affidavit if required, any and all documents and writings and to perform any and all other acts that may be deemed by any such General Partner or Glenborough necessary or expedient in connection with the creation of this Agreement (including the Management Agreement), the achievement of its purposes or the consummation of any matter covered hereby.
Other Acts to do all such other acts and things (including but not limited to the signing of any document or the execution of any deeds and documents) incidental to the exercise of any of the rights conferred on the Receiver under applicable statutory provisions and common law or as may be considered by such Receiver to be incidental or conducive to any of the matters or powers aforesaid and which he lawfully may or can do and he may act in his own name or in the name of the Chargor for all the purposes aforesaid.
