The Purchaser has the corporate power and authority (a) to own or lease its properties and carry on its business as it is now being conducted, (b) to enter into this Agreement and to purchase the Purchased Assets as provided herein, and (c) to carry out the other transactions and agreements contemplated by this Agreement.
