The Trust is a business trust duly organized and validly existing under the laws of the State of California and no personal liability attaches to the holders of the Class A Shares by reason of the ownership thereof. The Trust is duly qualified to transact business in each of the jurisdictions in which the ownership or leasing of the properties used in its business or the conduct of its business requires such qualification, other than in such jurisdictions where the failure to be so qualified would not have a Material Adverse Effect on the Trust. The Trust has all requisite trust power and authority to own or lease and operate its properties and to carry on its business as now conducted.
