Common use of Organization of the Purchaser Clause in Contracts

Organization of the Purchaser. The Purchaser is a corporation duly incorporated, validly existing and in good standing under the laws of the jurisdiction of its incorporation. The Purchaser is duly authorized to conduct business and is in good standing under the laws of each jurisdiction where such qualification is required. The Purchaser has the corporate power and authority (a) to own or lease its properties and carry on its business as it is now being conducted, (b) to enter into this Agreement and to purchase the Purchased Assets as provided herein, and (c) to carry out the other transactions and agreements contemplated by this Agreement.

The Purchaser has the full corporate power and authority (a) and all material licenses, permits, and authorizations necessary to own or lease its properties and carry on its business as the businesses in which it is now being conducted, (b) to enter into this Agreement and to purchase the Purchased Assets as provided herein, and (c) to carry out the other transactions and agreements contemplated by this Agreementengaged.
