Opinion of Counsel for the Manager. The Manager shall have received, on each Representation Date, from Sidley Austin LLP, counsel for the Manager, such opinion or opinions, dated such date, with respect to such matters as the Manager may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters. In rendering such opinion, Sidley Austin LLP may rely as to all matters governed by Texas law upon the opinion of Xxxxx Lord Xxxxxxx & Xxxxxxx LLP referred to above.
Opinion of Counsel for the Manager. On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement and each time Securities are delivered to the Manager as principal on the Settlement Date, as promptly as possible and in no event later than three (3) Trading Days of each Representation Date with respect to which no waiver is applicable, the Manager shall have received the favorable opinion of Hunton Axxxxxx Xxxxx LLP, counsel for the Manager, dated the date the opinion is required to be delivered, in customary form and substance satisfactory to the Manager, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters. In rendering such opinion, Hunton Axxxxxx Xxxxx LLP may rely as to matter involving the laws of the State of Maryland upon the opinion of Bxxxxxx Xxxxx LLP referred to in Section 7(r).
Opinion of Counsel for the Manager. The Representatives shall have received an opinion, dated such Closing Date, of Xxxxxx & Bird LLP, counsel for the Manager, in substantially the form set forth on Annex V hereto.
Opinion of Counsel for the Manager. On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement and each time Securities are delivered to the Manager as principal on the Settlement Date, as promptly as possible and in no event later than three (3) Trading Days of each Representation Date with respect to which no waiver is applicable, the Manager, the Forward Seller and the Forward Purchaser shall have received the favorable opinion of Hunton Axxxxxx Xxxxx LLP, counsel for the Manager, dated the date the opinion is required to be delivered, in customary form and substance satisfactory to the Manager, the Forward Seller and the Forward Purchaser, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters. In rendering such opinion, Hunton Axxxxxx Xxxxx LLP may rely as to matter involving the laws of the State of Maryland upon the opinion of Bxxxxxx Xxxxx LLP referred to in Section 7(r).
Opinion of Counsel for the Manager. At the Closing Time, the Representatives shall have received the favorable opinion, dated as of the Closing Time, of Xxxxx Early Xxxxxx Xxxxxxx LLP, counsel for the Manager, addressed to the Underwriters, in form and substance satisfactory to counsel for the Underwriters, to the effect set forth in Exhibit C hereto. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of the Manager and certificates of public officials.
Opinion of Counsel for the Manager. The favorable opinions of Xxxxx Early Xxxxxx Xxxxxxx LLP, counsel for the Manager, each in form and substance satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery to the same effect as the opinions required by Section 5.3 hereof.
Opinion of Counsel for the Manager. On the Closing Date, the Representative shall have received the favorable opinion of Kxxxxx MxXxxxxx PC, counsel to the Manager, dated the Closing Date, addressed to the Representative substantially in form and substance reasonably acceptable to the Representative.
Opinion of Counsel for the Manager. The Manager shall have received from Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for the Manager, on each Representation Date, such opinion or opinions, dated such date, with respect to such matters as the Manager may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.
Opinion of Counsel for the Manager. At the Closing Date, the Representatives shall have received the favorable opinion, dated as of the Closing Date, of [MANAGER’S COUNSEL], counsel for the Manager, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably request.
Opinion of Counsel for the Manager. The Manager shall have received from Cravath, Swaine & Xxxxx, LLP, counsel for the Manager, on the date of this Agreement and on each Representation Date, such opinion or opinions, dated such date, with respect to such matters as the Manager may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.
