Certificates of Officers. Any certificate signed by any officer of either Transaction Entity, as applicable, and delivered to the Representative or counsel for the Underwriters in connection with the offering of the Offered Shares shall be deemed a representation and warranty by each Transaction Entity, as applicable, as to matters covered thereby, to each Underwriter.
Certificates of Officers. All certificates of officers of any company hereunder may be given on behalf of the relevant company and in no event shall personal liability attach to such an officer.

Certificates of Officers. The Corporation delivering at the Closing Time certificates signed by two senior officers of (i) the Corporation and (ii) the Subsidiaries, with respect to:

Certificates of Officers. Any certificate signed by an officer of Company and delivered to the Purchasers or to counsel for Purchasers shall be deemed to be a representation and warranty by Company to the Purchasers as to the matters set forth therein.

Certificates of the Secretary or an Assistant Secretary of each Loan Party containing specimen signatures of the persons authorized to execute Credit Documents on such Loan Party’s behalf or any other documents provided for herein or therein, together with (x) copies of resolutions of the board of directors or other appropriate governing body of each Loan Party authorizing the execution and delivery of the Credit Documents to which such Loan Party is a party, (y) copies of each Loan Party’s memorandum of association and articles of association or other organizational documents filed in its jurisdiction of incorporation, and bylaws and other governing documents, if any, of such Loan Party, and (z) a certificate of incorporation or organization and a certificate of good standing from the appropriate Governmental Authority of each Loan Party’s jurisdiction of incorporation or organization;
Certificates of Officers. The Company shall deliver to the ------------------------- Purchasers at such Closing certificates of the officers of the Company certifying that the conditions specified in Sections 4.01 and 4.02 have been fulfilled and as to such other matters as the Purchaser may reasonably request.
Certificates of Officers. Any certificate signed by any officer of the Company or any Subsidiary and delivered to any Purchaser or to counsel for the Purchasers shall be deemed a joint and several representation and warranty by the Company and each of the Subsidiaries to each Purchaser as to the matters covered thereby.
