Xxxxxx XX, general counsel for the Company, or his successor, if any, which shall be addressed to the Lenders, dated the Subsequent Closing Date and in form and substance reasonably satisfactory to the Lenders.
Opinion of Company General Counsel. At the Closing Time, the Representative shall have received the favorable opinion, dated the Closing Time, of general counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, to the effect set forth in Exhibit D hereto and to such further effect as counsel to the Representative may reasonably request.
Opinion of Company General Counsel. The favorable opinion of Xxxxxxx X. Xxxxxxxx, General Counsel and Senior Vice President – Corporate Services of the Company, in form and substance satisfactory to counsel for the Underwriters, dated as of such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(g)(ii) hereof.

The favorable opinion, dated the Closing Time, of general counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, relating to the Option Shares to be purchased on such Option Closing Date and otherwise to the same effect as the opinion required by Section 6(c) hereof.

Xxxxxxxxx, Senior Vice President— General Counsel of the Company, counsel for the Company, shall have furnished to the Representative, at the request of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative, to the effect set forth in Annex D hereto.
Opinion of Company General Counsel. The Purchaser shall have received an opinion from Alvix X. Xxxmxx XX, xxneral counsel for the Company, which shall be addressed to the Purchaser, dated the Closing Date and in form and substance reasonably satisfactory to the Purchaser.

Xxxxxx XX, general counsel for the Company, or his successor, if any, which shall be addressed to the Purchasers, dated as of the date of such Closing, and in form and substance reasonably satisfactory to the Purchasers.
