OFFICE OF THE COMPANY As long as any of the Warrants remain outstanding, the Company shall maintain an office or agency (which may be the principal executive offices of the Company) where the Warrants may be presented for exercise, registration of transfer, division or combination as provided in this Warrant.
The Corporation The Corporation assumes and shall pay or cause to be paid all other expenses of the Corporation and the Fund (except for the expenses paid by the Mercury Funds Distributor division of Princeton Funds Distributor, Inc. (the "Distributor")), including, without limitation: taxes, expenses for legal and auditing services, costs of printing proxies, shareholder reports, prospectuses and statements of additional information, charges of the custodian, any sub-custodian and transfer agent, expenses of portfolio transactions, expenses of redemption of shares, Securities and Exchange Commission fees, expenses of registering the shares under Federal, state and foreign laws, fees and actual out-of-pocket expenses of Directors who are not affiliated persons of the Administrator, or of an affiliate of the Administrator, accounting and pricing costs (including
Registered Office; Registered Agent; Principal Office; Other Offices The registered office of the Company required by the Act to be maintained in the State of Delaware shall be the office of the initial registered agent named in the Certificate or such other office (which need not be a place of business of the Company) as the Majority Members may designate from time to time in the manner provided by law. The registered agent of the Company in the State of Delaware shall be the initial registered agent named in the Certificate or such other Person or Persons as the Majority Members may designate from time to time in the manner provided by law. The principal office of the Company shall be at such place as the Majority Members may designate from time to time, which need not be in the State of Delaware.
Formation of the Company By execution of this Agreement, the Member ratifies and confirms the action of Xxxxxxx X. Xxxx, Esq., as its duly authorized agent in connection with the filing of a certificate of formation (the “Certificate”) with the Secretary of the State of the State of Delaware for the purpose of forming Xxxxxx Xxxxxxx Xxxxx Xxxxxx LLC (the “Company”), a limited liability company formed under the Delaware Limited Liability Company Act 6 Del. C. §§ 18-101 et seq. (“Act”).
Board of Directors and Officers The members of the Board of Directors and the officers of the Surviving Corporation immediately after the Effective Time of the Merger shall be the persons who were the members of the Board of Directors and the officers, respectively, of the Company immediately prior to the Effective Time, and such persons shall serve in such offices, respectively, for the terms provided by law or in the Bylaws, or until their respective successors are elected and qualified.
