Certificate of the Chief Financial Officer. At the Closing Time, the Representative shall have received a certificate executed by the Chief Financial Officer, in form and substance satisfactory to the Representative.
Certificate of the Chief Financial Officer. A certificate of the Chief Financial Officer of the Company, dated such Date of Delivery, substantially in the same form and substance as the letter furnished to the Representative pursuant to Section 5(h) hereof.
Certificate of the Chief Financial Officer. At the time of execution of this Agreement, the Representative shall have received a certificate of the Chief Financial Officer of the Company, dated as of such date, in form and substance reasonably satisfactory to counsel for the Underwriters, to the effect set forth in Exhibit B-2. At the Closing Time, the Representative shall have received a certificate, dated as of the Closing Time, of the Chief Financial Officer and the Chief Accounting Officer of the Company confirming that the certificate delivered by the Company at the time of execution of this Agreement pursuant to the prior sentence of this Section 5(h) hereof remains true and correct as of the Closing Time.
Certificate of the Chief Financial Officer. At the time of the execution of this Agreement and at the Closing Time, the Representatives shall have received from the Company a certificate, dated the respective dates of delivery thereof and addressed to the Representatives, of the Chief Financial Officer of the Company with respect to certain financial and operating data contained in the Registration Statement, the General Disclosure Package and the Prospectus, as applicable, in form and substance reasonably satisfactory to the Representatives.
Certificate of the Chief Financial Officer. On the date hereof, the Underwriter shall have received from the Chief Financial Officer, a certificate (the “CFO Certificate”) in form and substance reasonably satisfactory to the Underwriter.
Certificate of the Chief Financial Officer. The Representatives shall have received a certificate, dated, respectively, the date hereof and each Closing Date, of the Chief Financial Officer of the Company substantially in the form of Exhibit D hereto.
Certificate of the Chief Financial Officer. The Company shall have delivered a certificate of the Chief Financial Officer of the Company as to the solvency of the Company in form and substance mutually agreeable to the parties and to the effect that the Company has sufficient “surplus” as defined and computed in accordance with Section 154 and Section 244 of the General Corporation Law of the State of Delaware, so as to meet the requirements of Section 160(a) of the General Corporation Law of the State of Delaware in effecting the Tender Offer and purchase of the Shares hereunder.
Certificate of the Chief Financial Officer. At the time of execution of this Agreement and at the Closing Time, the Representative shall have received a certificate executed by the Chief Financial Officer of the Company, in form and substance satisfactory to the Representative and substantially in the form of Exhibit B hereto.
Certificate of the Chief Financial Officer. On the date hereof, Wedbush as representative of the Underwriters shall have received from the Chief Financial Officer, a certificate (the “CFO Certificate”) in form and substance reasonably satisfactory to Wedbush.
Certificate of the Chief Financial Officer. The Initial Purchasers shall have received a certificate, on the date hereof and on the Closing Date, signed by the chief financial officer of the Company certifying as to the preparation, completeness and accuracy of certain financial and operating data relating to the Company contained in the Pricing Disclosure Package and the Final Offering Memorandum.
