Non-Waiver and Amendment. Failure by either party to enforce or take ------------------------- advantage of any provision of this Agreement shall not constitute a waiver of the right subsequently to enforce or take advantage of such provision. Non-Waiver and Amendment. 44.1 Any waiver or relaxation by CATCON partly or wholly of any term or condition of the Subcontract Agreement is valid only if in writing and signed by CATCON. Any such waiver or relaxation is restricted to its written terms and unless expressly stated otherwise applies to a particular occasion only. Except as set forth in Sections 1 and 5.2, this Agreement and the warranties, representations and agreements contained herein may not be waived, modified or amended, in whole or in part, except by written agreement executed by the duly authorized representatives of the parties.
