Non-collusion Covenant. Contractor represents and agrees that it has in no way entered into any contingent fee arrangement with any firm or person concerning the obtaining of this Agreement with KHS. Contractor has received from KHS no incentive or special payments, nor considerations, not related to the provision of services under this Agreement.

In addition, the Contractor agrees that a duly authorized Contractor representative will sign a non-collusion affidavit, in a form acceptable to the District, acknowledging that the Contractor has not received any incentive, special payments, or considerations related to the provision of the System(s) and Services described in this Agreement.

CONTRACTOR has received from AGENCY no incentive or special payments or considerations related to the provision of services under this Agreement. NO THIRD PARTY BENEFICIARIES It is expressly understood and agreed that the enforcement of these terms and conditions and all rights of action relating to such enforcement shall be strictly reserved to AGENCY and CONTRACTOR. Nothing contained in this Agreement shall give or allow any claim or right of action whatsoever by any other third person. It is the express intention of AGENCY and CONTRACTOR that any such person or entity, other than AGENCY or CONTRACTOR, receiving services or benefits under this Agreement shall be deemed an incidental beneficiary only.
