No Fractional Rights. The Corporation shall not be required to issue fractions of Rights or to distribute Right Certificates which evidence fractional Rights. After the Separation Time, in lieu of issuing fractional Rights the Corporation shall pay to the holders of record of the Right Certificates, at the time such fractional Rights would otherwise be issuable, an amount in cash equal to the same fraction of the Market Price of one whole Right that the fraction of a Right that would otherwise be issuable is of one whole Right.

No Fractional Rights. No fractional rights to subscribe for shares of common stock will be issued. The number of rights issued to a stockholder is proportional to the number of shares of common stock held by such stockholder on the record date. On the record date, eligible stockholders will receive a dividend of one right for every 2.15 shares of common stock owned of record on that date. If the number of shares of common stock held by a stockholder on the record date would result in the receipt of fractional rights, the number of rights distributed to such stockholder will be rounded up to the nearest whole number. Each right is exercisable for one share of common stock. This means that for every 2.15 shares of common stock held by an eligible stockholder on the record date, such stockholder will have the right to purchase one additional share of common stock.
No Fractional Rights. The Company shall not issue fractions of Rights or issue Right Certificates which evidence fractional Rights. Instead, in the event that the number of shares of Company Common Stock held by any Record Holder as of the Rights Record Date shall not be divisible by four (4), the number of Rights to be issued to such holder shall be rounded upward to the nearest whole Right. Record Holders will be instructed to allocate the Rights among beneficial owners for whom the Record Holders hold such Rights by rounding upward or downward to the nearest whole Right.

The sales of the Excess Tribune Common Shares by the Paying Agent shall be executed on the NYSE through one or more member firms of the NYSE and shall be executed in round lots to the extent practicable. Tribune shall pay all commissions, transfer taxes and other out-of-pocket transaction costs, including the expenses and compensation of the Paying Agent, incurred in connection with such sale of Excess Tribune Common Shares. Until the net proceeds of such sale have been distributed to the former holders of Company Common Shares, the Paying Agent will hold such proceeds in trust for such former holders. As soon as practicable after the determination of the amount of cash to be paid to former holders of Company Common Shares in lieu of any fractional interests, the Paying Agent shall make available in accordance with this Agreement such amounts to such former holders.

The closing price for any day shall be the last sale price, regular way, or, in case no such sale takes place on such day, the average of the closing bid and asked prices, regular way, in either case as reported in the principal consolidated transaction reporting system with respect to securities listed or admitted to trading on the New York Stock Exchange or, if the Rights are not listed or admitted to trading on the New York Stock Exchange, as reported in the principal consolidated transaction reporting system with respect to securities listed on the principal national securities exchange on which the Rights are listed or admitted to trading or, if the Rights are not listed or admitted to trading on any national securities exchange, the last quoted price or, if not so quoted, the average of the high bid and low asked prices in the over-the-counter market, as reported by NASDAQ or such other system then in use or, if on any such date the Rights are not quoted by any such organization, the average of the closing bid and asked prices as furnished by a professional market maker making a market in the Rights selected by the Board of Directors of the Company. If on any such date no such market maker is making a market in the Rights, the fair value of the Rights on such date as determined in good faith by the Board of Directors of the Company shall be used.
