Maintenance and Servicing of Cranes. (a) During the Term hereof, XXXX shall at its own cost and expense provide crane operators to provide for the operation of the two (2) Xxxxx 45LT container cranes and one (1) Xxxxx combination heavy lift (385T) container crane located on the Terminal (collectively, the "PRPA Cranes") and the XXXX Cranes, as hereinafter defined (the PRPA Cranes and the XXXX Cranes are occasionally referred to herein collectively as the "Cranes"), and XXXX shall contract with an independent crane maintenance contractor acceptable to PRPA, in its reasonable judgment, to maintain and service the Cranes or undertake such maintenance and service by itself, including without limitation the observance of the manufacturers' recommendations (except to the extent that XXXX demonstrates to PRPA's reasonable satisfaction that certain of such recommendations are inapplicable or have been satisfied by alternative measures) so as to keep them in the same operating condition they were in, as to the PRPA Cranes, on April 1, 1989 or as subsequently retrofitted by PRPA, and, as to the XXXX Cranes, at the date each such XXXX Xxxxx was introduced into service at the Terminal, subject in all cases to ordinary wear and tear. (Notwithstanding anything to the contrary contained herein, PRPA and not XXXX shall be required to replace any major crane parts (as listed on Exhibit E), as needed, on any PRPA Crane (other than the heavy lift crane) until such PRPA Crane (other than the heavy lift crane) has been retrofitted by PRPA as provided herein, unless the need for such replacement is caused by XXXX'x negligence or by XXXX'x failure to perform its maintenance obligations set forth in this Section 6.6(a). Furthermore, PRPA and XXXX agree that with respect to diesels and generators for the PRPA Cranes, after the completion of the Crane Retrofit with respect to a PRPA Crane, the first time each diesel and generator with respect to such Crane needs to be replaced, XXXX shall bear the cost thereof to the extent that such replacement is not covered by insurance, up to $100,000, and PRPA shall pay the balance. Thereafter, each time such diesel and generator needs to be replaced, XXXX shall bear the full cost thereof (to the extent that such replacement is not covered by insurance)). Crane maintenance personnel shall be fully trained and qualified to perform such services. If requested by PRPA, maintenance reports shall be submitted to PRPA by XXXX not less frequently than quarterly. PRPA shall not be liable...
