Liquidating Trust Reserve. Notwithstanding the other provisions of this Section III, prior to making any Distributions, the Liquidating Trustee may retain the following amounts on reserve (the “Liquidating Trust Reserve”): (a) the Disputed Claims Reserve; (b) the dollar face amount of Filed final applications for compensation for services and reimbursement of expenses of professionals employed during the Chapter 11 Cases; (c) the dollar face amount of any tax owing or governmental returns or fees; and (d) the estimated expenses of administering the Liquidating Trust and winding down the Debtors or as may be ordered by the Bankruptcy Court (this clause (d) shall be referred to as the “Wind-Down Reserve”). In the event that the Liquidating Trustee determines that an increase of the Wind-Down Reserve is necessary to fulfill the purpose of the Liquidating Trust, the Liquidating Trustee may seek Bankruptcy Court approval of such increased Wind-Down Reserve.
