INTERPRETATION, JURISDICTION, ETC. This Agreement constitutes the whole agreement between the parties to this Agreement relating to the wholesaling activities contemplated in this Agreement, and supersedes all prior oral or written negotiations between the parties to this Agreement with respect to the subject matter of this Agreement. The parties acknowledge that the Company, the Distributor and the Fund have entered into the Participation Agreement in contemplation of entering into this Agreement. This Agreement shall be construed and the provisions of this Agreement interpreted under and in accordance with the internal laws of the Commonwealth of Massachusetts without giving effect to principles of conflict of laws.

No prior writings by or between the parties hereto with respect to the subject matter hereof shall be used by either party in connection with the interpretation of any provisions of this Agreement.

This Agreement, together with the Related Agreements, constitutes the whole agreement between the parties hereto with respect to the subject matter hereof, and supersedes all prior oral or written understandings, agreements or negotiations between the parties with respect to such subject matter. No prior writings by or between the parties with respect to the subject matter hereof shall be used by a party in connection with the interpretation of any provision of this Agreement. This Agreement shall be construed and its provisions interpreted under and in accordance with the internal laws of the state of Maryland without giving effect to principles of conflict of laws. This Section 8.3 shall not be construed to deny Security Benefit, or an Affiliate thereof, of any rights to which it is entitled as an owner of shares of the Fund.
