Representations and Warranties Authorizations. 1.1. Subject to the terms and conditions contained herein, Epoch hereby authorizes Broker-Dealer, on a non-exclusive basis, to make sales of such Contracts for which Epoch acts as distributor. Broker-Dealer agrees to direct the sales activities of its Registered Representatives and to enforce written supervisory procedures to assure strict compliance with applicable rules and regulations under the Securities Exchange Act of 1934 ("1934 Act"), the National Association of Securities Dealers, Inc. ("NASD") rules, and other applicable federal and state statutes and regulations. Broker-Dealer shall comply with all applicable federal and state laws, ordinances and regulations relating thereto.
