Instructions and Records. You direct CIBC to accept the instructions you give through the Cardholder Banking Services. CIBC's records are conclusive and binding on you, and will be admissible in any legal proceeding as the best evidence of Transactions. All Transactions are subject to verification, acceptance and adjustment by CIBC.

Instructions and Records. You direct CIBC to accept the instructions you give CIBC through this Service as if you have given them in writing and in person at a CIBC branch. CIBC may keep any type of records it wishes, including tape recorded or electronic records. The records of CIBC with respect to all Instant Banking Transactions and to the contents of envelopes placed in the Instant Teller units shall be conclusive and binding upon you and will be admissible in legal proceedings as the best evidence of the Instant Banking Transaction. All Instant Banking Transactions, including envelope contents, are subject to verification, acceptance and adjustment by CIBC. If credit is given for a cheque or deposit item, such a credit and any interest may be reversed if CIBC does not receive full payment in respect of that cheque or item.

ALPS or its undersigned as defined by Rule 17a-4 of the Securities and Exchange Act (the “Exchange Act”), shall have access to all electronic communications, including password access to the system storing the electronic communications, of registered representatives of ALPS that are associated with the Fund and are required to be maintained under Rule 17a-4 of the Exchange Act and FINRA Rules 3110 and 3010. Electronic storage media maintained by the Fund will comply with Rule 17a-4 of the Exchange Act.
