Initial Conveyance. Within five (5) Business Days after the Effective Date, Seller shall deliver to Purchaser, via file transfer protocol or other means of electronic delivery to a server designated by Purchaser, any and all Acquired Assets existing as of the Effective Date and remediated pursuant to Section 3.2.2; provided, however, that Seller shall not have any obligation to deliver the code for the 2009 and prior versions of the Software. Within five (5) Business Days after such delivery, Seller shall confirm in writing to Purchaser that all Acquired Assets have been delivered to Purchaser in accordance with this Agreement (“Seller’s Delivery Confirmation”). For the avoidance of doubt, although Seller is not required by this Agreement to deliver the code for the 2009 and prior versions of the Software to Purchaser, all Intellectual Property Rights related to the 2009 and prior versions of the Software are being sold, assigned, transferred and conveyed to Purchaser pursuant to this Agreement. Such transfer shall not be deemed to preclude Seller from using the code and applicable Documentation for the 2009 and prior versions of the Software, and Intellectual Property Rights licensed to Seller under the License Agreement, to the extent necessary for Seller to satisfy any support or similar obligations to any end user or to any partner, reseller, distributor, dealer or sales representative of Seller.

Initial Conveyance. (i) On the terms and subject to the conditions set forth in this Agreement, on the Effective Date, the Seller agrees to Convey to the Purchaser, without recourse except to the extent specifically provided herein, and the Purchaser agrees to purchase from the Seller (the “Initial Conveyance”), all of the Seller’s right, title and interest (whether now owned or hereafter acquired or arising, and wherever located) in and to each Transferred Asset listed on Schedule A attached hereto, together with all proceeds of the foregoing. Certain of the Transferred Assets will be Conveyed via a 100% undivided participation interest in Seller’s interests in such Transferred Asset (each, a “Participation Interest” and collectively, the “Participation”), the legal title to which is held by the Seller. The Purchaser hereby acquires the Participation and assumes and agrees to perform and comply with all assumed obligations of the Seller with respect to each Participation Interest. The parties hereby agree to treat the transfer of the Participation by Seller to Purchaser as a sale and purchase of the 100% undivided participations interests on all of their respective relevant books and records and the tenor, interest rate and other terms of each Participation Interest shall be coextensive with those of the related underlying instrument.

  • Merger, Sale, Conveyance or Lease In case of (a) any share exchange, merger or similar transaction of the Company with or into another person or entity (other than a share exchange, merger or similar transaction in which the Company is the acquiring or surviving corporation) or (b) the sale, exchange, lease, transfer or other disposition of all or substantially all of the properties and assets of the Company as an entirety (in any such case, a “Reorganization Event”), then, as a condition of such Reorganization Event, lawful provisions shall be made, and duly executed documents evidencing the same from the Company’s successor shall be delivered to the holders of the Warrants, so that such successor shall succeed to and be substituted for the Company, and assume all the Company’s obligations under, this Agreement and the Warrants. The Company shall thereupon be relieved of any further obligation hereunder or under the Warrants, and the Company as the predecessor corporation may thereupon or at any time thereafter be dissolved, wound up or liquidated. Such successor or assuming entity thereupon may cause to be signed, and may issue either in its own name or in the name of the Company, any or all of the Warrants issuable hereunder which heretofore shall not have been signed by the Company, and may execute and deliver securities in its own name, in fulfillment of its obligations to deliver Warrant Debt Securities upon exercise of the Warrants. All the Warrants so issued shall in all respects have the same legal rank and benefit under this Agreement as the Warrants theretofore or thereafter issued in accordance with the terms of this Agreement as though all of such Warrants had been issued at the date of the execution hereof. In any case of any such Reorganization Event, such changes in phraseology and form (but not in substance) may be made in the Warrants thereafter to be issued as may be appropriate. The Warrant Agent may receive a written opinion of legal counsel as conclusive evidence that any such Reorganization Event complies with the provisions of this Section 3.4.

The Stated Principal Balance of each Mortgage Loan as of the related Cut-off Date is determined after application of payments of principal due on or before the related Cut-off Date whether or not collected, together with any unscheduled Principal Prepayments collected prior to the related Cut-off Date; provided, however, that Monthly Payments for a Due Date beyond the Cut-off Date shall not be applied to reduce the principal balance. Such Monthly Payments shall be the property of the Purchaser. If the Servicing Transfer Date has not yet occurred, the Seller shall remit any such Monthly Payments to the Purchaser on the Remittance Date following collection thereof. If the Servicing Transfer Date has occurred, the Seller shall remit any such Monthly Payments to the Purchaser in accordance with the Servicing Transfer Instructions.

  • Assignment and Conveyance 1.
