Information on Yehua. Xxxxx was established in the People's Republic of China ("PRC") as a wholly foreign- owned enterprise on 15 December 2004. Yehua's approved investment capital is USD20,000,000 and its registered capital is USD20,000,000. The principal activities of Yehua are the production and sale of coke produced by coal-ramming process and used mainly as metallurgical coke. As at 31 March 2006, Xxxxx does not have any subsidiary or associated company. On 1 January 2005, Xxxxx and Linyi Jiangshun Kuang Ye Co., Ltd ("Jiangshun"), a company established in the PRC and which is principally engaged in the production, processing and sale of coke and its by-products have entered into an assets transfer agreement and a supplemental assets transfer agreement (collectively, "Assets Transfer Agreements") for the acquisition by Yehua of Jiangshun's coke business ("Coke Business").
