Guest Baggage. As of the Close of Escrow, Buyer shall indemnify and hold harmless Seller against all Losses with respect to all baggage of departed guests or guests who are still registered at the Hotel on the Closing Date which has been checked with the Hotel. As of the Close of Escrow, Seller shall assign to Buyer all claims and causes of action against the Manager with respect to any Losses with respect to such baggage. Seller agrees to submit to Seller's Insurance any claims for Losses with respect to such baggage which arose from acts or omissions prior to the Closing Date to the extent coverage is available under said insurance and provide Buyer with the proceeds therefrom provided Buyer is not in default under this SECTION 5.7. The provisions of this SECTION 5.7 shall survive the Closing.
Guest Baggage. All baggage of guests who are still in the Hotel on the Closing Date, which has been checked with or left in the care of Seller or Manager shall be inventoried, sealed and tagged jointly by Seller and Purchaser on the Closing Date. Purchaser hereby agrees to save, protect, defend, indemnify and hold Seller and its Indemnitees harmless against any Liabilities in connection with such baggage arising out of the acts or omissions of Purchaser or its Affiliates (or any of their employees or agents) after the Closing Date.
Guest Baggage. All baggage, parcels of property of guests or tenants being retained by Sellers as security for unpaid accounts receivable shall be removed from the Property prior to Closing (“Retained Baggage”). All other baggage, parcels or property checked or left in the care of Sellers by current guests or tenants at Closing, or by those formerly staying at the Property, or others, shall be sealed and listed in an inventory prepared by representatives of Sellers no later than one (1) day prior to Closing and initialed by such representatives. Possession and control of all such other baggage, parcels or property listed on such inventory shall be delivered to Purchaser at each Hotel on the day of Closing, and representatives of Purchaser shall acknowledge receipt of all such items.
Guest Baggage. All baggage of guests who are still in the Hotel on the Closing Date, which has been checked with or left in the care of Seller, Operating Lessee or Manager shall be inventoried, sealed, and tagged jointly by Seller and Purchaser on the Closing Date. Purchaser hereby indemnifies Seller and Operating Lessee and their respective Indemnitees against any Liabilities in connection with such inventoried baggage arising out of the acts of omissions of Purchaser or any of their respective Affiliates (or any of their employees or agents) after the Closing Date. Seller hereby indemnifies Purchaser and its Indemnitees against any Liabilities in connection with such baggage arising out of the acts or omissions of Manager, Seller or any of its Affiliates (or any of their employees or agents) prior to the Closing Date. The provisions of this Section 14.01(c) shall survive the Closing.
Guest Baggage. Any baggage or other property of departed guests held by Seller may be left at the Hotel for a period not to exceed ninety (90) days following the Closing Date. After such period, all such baggage or property will, at the option of Seller, be removed by Seller or abandoned by Seller and Buyer shall dispose of such baggage in any manner deemed appropriate by Buyer. Seller hereby indemnifies Buyer against all claims, losses and liabilities in connection with the holding of such baggage or other property for such period and the disposal of same by Seller. Buyer hereby indemnifies Seller against all claims, losses and liabilities in connection with Buyer's disposal of such baggage. All baggage of guests who are still in the Hotel on the Closing Date which has been checked with or left in the care of Seller shall be inventoried, sealed and tagged jointly by Seller and Buyer immediately after the Closing. Buyer hereby indemnifies Seller against all claims, losses or liabilities with respect to such baggage arising out of the acts or omissions of Buyer after the Closing. Seller hereby indemnifies Buyer against all claims, losses or liabilities with respect to such baggage arising out of the acts or omissions of Seller prior to the Closing.
Guest Baggage. All baggage of Hotel guests which has been checked with or left in the care of Company shall be inventoried, sealed and tagged jointly by Existing Members and Investor immediately after the Closing Date. The Company hereby indemnifies Investor (to the extent of the Interest) against all claims, losses or liabilities with respect to such baggage arising out of the acts or omissions of Existing Members prior to the Closing Date.

Guest Baggage. The Company hereby indemnifies Contributor against any claims, losses or liabilities in connection with such baggage arising out of the acts of omissions of the Company after the Closing Date. Contributor hereby indemnifies the Company against any claim, losses or liabilities with respect to such baggage arising out of the acts or omissions of Contributor on or prior to the Closing Date.
