Governing Laws; Jurisdiction. 7.1 The Agreement will be governed by and construed in accordance with the Laws of the Republic of India;
Governing Laws; Jurisdiction. This Agreement shall be interpreted according to the laws of the State of Illinois. Exclusive jurisdiction for any litigation involving any aspect of this Agreement shall be in the Eighteenth Judicial Circuit Court, DuPage County, Illinois.
Governing Laws; Jurisdiction. This Agreement shall be construed in accordance with Nevada law, without regard to conflict of law principles. This Agreement sets forth the entire understanding of Buyer and Seller with respect to the subject matter of this Agreement and supersedes and replaces all prior agreements, arrangements, representations, letters of intent and memoranda relating to the subject matter of this Agreement. The captions at the head of the paragraphs of this Agreement are for convenience only and shall not alter or affect the provisions of this Agreement. Buyer and Seller and the Seller’s Executives each agree that exclusive jurisdiction and venue for any litigation concerning this Agreement and the transactions contemplated herein shall exist in the U.S. Federal District Court for the District of Nevada, by nonjury trial. Each party shall be entitled to collect its reasonable attorneys’ fees and litigation costs in any action to enforce this Agreement in which it prevails.

THIS AGREEMENT IS MADE UNDER, AND SHALL BE CONSTRUED AND ENFORCED IN ACCORDANCE WITH, AND, TO THE EXTENT POSSIBLE, ALL OTHER TRANSACTION DOCUMENTS SHALL BE CONSTRUED AND ENFORCED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, WITHOUT REGARD TO CONFLICTS OF LAWS PRINCIPLES.
Governing Laws; Jurisdiction. This agreement shall be governed by the laws of the State of Ohio. Buyer consents to personal jurisdiction over it with respect to any dispute arising hereunder in the courts of the State of Ohio.

Subject to Section 4.7 hereof and without prejudice to the rights of either Party to bring an action before any court having jurisdiction, PAI and CDFJV each agree that any litigation between them or any of their respective Affiliates arising out of, connected with, related to, or incidental to the relationship established between them in connection with this Agreement or the other Definitive Agreements, and whether arising in contract, tort, equity or otherwise, may be resolved by State or Federal courts located in Chicago, Illinois.
Governing Laws; Jurisdiction. The EoI process shall be governed by and construed in accordance with, the laws of India and the Courts at New Delhi (India) shall have exclusive jurisdiction over all disputes arising under, pursuant to and/ or in connection with the EoI process.
Governing Laws; Jurisdiction. This Agreement is created by and shall be construed under the applicable laws of the State of California, without giving effect to its conflicts of laws principles. Any proceeding seeking to enforce any provision of, or based on any right arising out of, this Agreement shall be brought against any of the parties hereto in the courts of the State of California, Los Angeles County, or, if it has or can acquire jurisdiction, in the United States District Court for the Central District of California, and each party hereto consents to the jurisdiction of such courts (and of the appropriate appellate courts) in any such action or proceeding and waives any objection to venue laid therein.

All disputes arising out of this Agreement shall be subject to the exclusive jurisdiction and venue of the California state courts of San Diego County, California (or, if there is exclusive federal jurisdiction, the United States District Court for the Southern District of California), and the parties consent to the personal and exclusive jurisdiction of these courts.
Governing Laws; Jurisdiction. This Agreement shall be subject to and governed by the laws of the state of Minnesota, without regard to conflicts of laws principles. Each of the Parties hereby irrevocably submits to the non-exclusive jurisdiction of the Federal courts sitting in Minneapolis or St. Xxxx, Minnesota and any state court located in Hennepin County, Minnesota, and by execution and delivery of this Agreement, each Party hereto accepts for itself and in connection with its properties, generally and unconditionally, the non-exclusive jurisdiction of such courts with respect to any litigation concerning this Agreement or the Definitive Agreements or the transactions contemplated thereby or any matters related thereto not subject to the provisions of Article VI. Each Party hereto irrevocably waives any objection (including any objection to the laying of venue or any objection on the grounds of forum non conveniens) which it may now or hereafter have to the bringing of any proceeding with respect to this Agreement or the Definitive Agreements to the courts set forth above. Each Party hereto agrees to the personal jurisdiction of such courts and that service of process may be made on it at the address indicated in Section 7.2 above. Nothing herein shall affect the right to serve process in any other manner permitted by law.
