Governing Law; Forum; Venue. This Agreement is executed and delivered in the State of Arizona, and the substantive laws of the State of Arizona (without reference to choice of law principles) will govern their interpretation and enforcement. Any action brought to interpret or enforce any provision of this Agreement that cannot be administratively resolved, or otherwise related to or arising from this Agreement, will be commenced and maintained in the state or federal courts of the State of Arizona, Maricopa County, and each of the parties, to the extent permitted by law, consents to jurisdiction and venue in such courts for such purposes.
Governing Law; Forum; Venue. This Agreement is deemed executed, delivered and performed in the State of Missouri, and the substantive laws of the State of Missouri and Federal law as applied in Missouri without reference to choice of laws principles and specifically excluding the United Nations Convention on Contracts for the International Sales of Goods, shall govern its interpretation and enforcement. Any action brought to interpret or enforce any provisions of this Agreement, or otherwise relating to or arising from this Agreement, shall be commenced and maintained solely in the Circuit Court of Xxxxxx County in the State of Missouri and each Party consents to jurisdiction and venue in such court for such purposes.

This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of New York without giving effect to conflict of laws principles that would result in the application of the laws of another jurisdiction. The courts of the State of New York, shall have and the parties consent to, jurisdiction over any and all disputes arising out of and related to this Agreement and the parties waive any other jurisdiction. Exclusive venue for any litigation related hereto shall occur in the state or federal court in the County of New York.

Any action brought to interpret or enforce any provisions of this Agreement, or otherwise relating to or arising from this Agreement, shall be commenced and maintained in the Superior Court in and for the County of Maricopa in the State of Arizona or the United States District Court, District of Arizona and each Party consents to jurisdiction and venue in such court for such purposes.
Governing Law; Forum; Venue. This Agreement shall be governed and interpreted in accordance with the laws of the State of California, without regard to principles of conflict of laws. The Parties agree that any proceeding relating to this Agreement will take place in the State and Federal courts located in Los Angeles, California; and both Parties hereby waive the right to object to that choice of law, personal jurisdiction or venue.
Governing Law; Forum; Venue. The provisions of this Agreement shall be construed and interpreted according to the federal laws of the United States if applicable, and otherwise by the laws of the State of Illinois. The Parties agree and consent to exclusive jurisdiction and venue in the state and federal courts located in Chicago, Illinois.
Governing Law; Forum; Venue. This Agreement is deemed executed, delivered and performed in the State of Kentucky, and the substantive laws of the State of Kentucky and Federal law as applied in Kentucky (without reference to choice of law principles) and specifically excluding the United Nations Convention on Contracts for the International Sales of Goods, shall govern its interpretation and enforcement. Any action brought to interpret or enforce any provisions of this Agreement, or otherwise relating to or arising from this Agreement, shall be commenced and maintained in the Superior Court or Federal District Court located in the County of Kenton in the State of Kentucky and each of the Parties consents to jurisdiction and venue in such court for such purposes.
Governing Law; Forum; Venue. (a) This Agreement shall in all respects be interpreted, enforced, and governed by and under the laws of the State of California, without regards to its conflict of laws provisions.
Governing Law; Forum; Venue. This Agreement is to be interpreted according to the laws of the State of West Virginia. West Virginia is the only forum available to the parties for any litigation resulting from this Agreement, and the Circuit Court of Monongalia County is the exclusive venue. Confidant consents to personal jurisdiction in the state courts of West Virginia for any dispute arising out of this Agreement, and Confidant waives its right to invoke the forum non conveniens objection.
Governing Law; Forum; Venue. This Agreement shall in all respects be interpreted, governed and enforced in accordance with the laws of the State of California applicable to contracts entered into and fully to be performed therein. The Parties agree that this Agreement was made and entered into in Ventura County, California and that this Agreement and the Parties’ obligations under this Agreement are to be performed in Ventura County. Accordingly, the Parties agree that any action, suit or other legal proceeding concerning this Agreement shall be in a forum with jurisdiction over Ventura County, California, with venue in Ventura County.
