Common use of General Management Clause in Contracts

General Management. Other than matters reserved under this Agreement or under the Act to the Member for decision, the business and properties of the Company will be managed by a board of managers (the “Board of Managers”) with the power to appoint officers of the Company, to appoint and direct agents, to grant general or limited authority to officers, employees and agents of the Company and to execute and deliver contracts and other documents in the name and on behalf of the Company.

Other than matters reserved under this Agreement The Company shall be managed by or under the Act authority of one or more Managers who will, to the Member for decisionfullest extent permitted by the Act, be in charge of the conduct and operation of the business and properties of the Company will be managed by a board of managers (the “Board of Managers”) with the power to appoint officers of the Company, to appoint and direct agents, to grant general or limited authority to officers, employees and agents of the Company and its properties. A Manager shall serve until the Manager’s resignation or removal. The Managers may delegate such management authority to execute such persons or entities as the Managers determine and deliver contracts may give such persons or entities titles such as general manager, director, principal, president, vice president, secretary, and other documents in treasurer, as the name Managers determine with such rights and on behalf of duties as may be specified by the CompanyManagers.
