Failure to Submit Claim Form. Unless a member of the Settlement Class opts out pursuant to Section VIII(B), any member of the Settlement Class who fails to submit a timely and valid Claim Form shall be forever barred from receiving any payment pursuant to this Agreement, and shall in all other respects be bound by all of the terms of this Agreement and the terms of the Order and Final Judgment to be entered in the Action. Based on the release contained in this Agreement, any member of the Settlement Class who does not opt out will be barred from bringing any action in any forum (state or federal) against any of the Released Persons concerning any of the matters subject to the release.

Failure to Submit Claim Form. Unless a Settlement Class Member submits a timely and valid Request for Exclusion pursuant to Paragraph 12, any Settlement Class Member who fails to submit a timely and valid Claim Form shall receive a Points Award through the Wyndham Rewards program, shall be forever barred from receiving a Cash Award or any additional payment pursuant to this Agreement, and shall in all other respects be bound by all of the terms of this Agreement and the terms of the Final Judgment to be entered in the Luca Action.

Failure to Submit Claim Form. Any Class Member who fails to complete and submit a timely Claim Form by following the procedures set forth on the notice of class settlement and who also fails to complete and submit a request for exclusion from the Class shall automatically be deemed a Class Member whose rights and claims are determined by the Court’s Final Order Approving Settlement of Class Action and Dismissal with Prejudice. Thus, said Class Member’s rights to pursue any claims covered by the Litigation shall be extinguished and said Class Member shall not be permitted to recover from the Settlement.

  • Obligation to Defend; Notice; Cooperation Whenever a claim arises for indemnification under this Section (the “Claim”), the relevant Indemnitee, as appropriate, will promptly notify the Indemnifying party and request the Indemnifying Party to defend the same. In the event the Indemnifying Party does not accept the defense of any indemnified Claim as provided above, the relevant Indemnitee will have the right to employ counsel for such defense at the expense of the Indemnifying Party, and the Indemnifying Party shall be liable for all costs associated with Indemnitee’s defense of such Claim including court costs, and any settlement or damages awarded a third party. Each Party agrees to cooperate and to cause its employees and agents to cooperate with the other Party in the defense of any such Claim.

  • NOTICE OF THIRD PARTY CLAIMS Pursuant to Public Contract Code Section 9201, District shall provide Contractor timely notification of the receipt of any third-party claim relating to this Contract. District shall be entitled to recover its reasonable costs incurred in providing such notification.

  • NOTICE OF INTENT TO SURRENDER Any other provision of this lease to the contrary notwithstanding, at least thirty (30) days prior to the normal expiration of the term of this Lease as noted under the heading TERM OF LEASE above, Tenant shall give written notice to Landlord of Tenant’s intention to surrender the residence at the expiration of the Lease term.
