EXERCISE OF JUDGMENT IN RENDERING SERVICES. In providing any services hereunder which require the exercise of judgment by Provider, Provider shall perform any such service in accordance with any standards and guidelines Company develops and communicates to Provider. In performing any services hereunder, Provider shall at all times act in a manner reasonably calculated to be in or not opposed to the best interests of Company.
EXERCISE OF JUDGMENT IN RENDERING SERVICES. In providing services hereunder which require the exercise of judgment by Service Provider, Service Provider shall perform any such service in accordance with standards and guidelines Service Recipient develops and communicates to Service Provider. In performing any services hereunder, Service Provider shall, at all times, act in a manner reasonably calculated to be in, or not opposed to the best interests, of Service Recipient.
EXERCISE OF JUDGMENT IN RENDERING SERVICES. In providing any services hereunder which require the exercise of judgment by Parent, Parent shall perform such services in accordance with standards and guidelines established by the Board of Directors of Company and communicated to Parent.
EXERCISE OF JUDGMENT IN RENDERING SERVICES. In providing any services hereunder which require the exercise of judgment by IMS, IMS shall perform any such service in accordance with any standards and guidelines BSIC develops and communicates to IMS. In performing any services hereunder, IMS shall at all times act in a manner reasonably calculated to be in, or not opposed to, the best interests of BSIC, and in any event in accordance with the written standards and guidelines of BSIC.
EXERCISE OF JUDGMENT IN RENDERING SERVICES. In providing any services hereunder which require the exercise of judgment by Advisor, Advisor shall perform such services in accordance with any standards and guidelines which Company develops and communicates to Advisor in writing. In performing any services hereunder, Advisor shall at all times act in a manner reasonably calculated to be in or not opposed to the best interests of Company and the Subsidiaries.
EXERCISE OF JUDGMENT IN RENDERING SERVICES. In providing any Services hereunder that require the exercise of judgment by the party providing Services, that party shall perform any such Service in accordance with the standards set forth herein and any additional guidelines the party receiving Services develops and communicates to the party providing Services. In performing any Services hereunder, the party providing Services shall at all times act in a manner reasonably calculated to be in or not opposed to the best interests of the party receiving Services.
EXERCISE OF JUDGMENT IN RENDERING SERVICES. In providing any Services hereunder which require the exercise of judgment by AAG, AAG shall perform any such Services in accordance with any standards and guidelines AILIC develops and communicates to AAG. In performing any Services hereunder, AAG shall at all times act in a manner reasonably calculated to be in, or not opposed to, the best interests of AILIC. AAG shall have no liability for any action taken or omitted by it in furnishing Services and Facilities under this Agreement, in good faith and without gross negligence or willful misconduct.
EXERCISE OF JUDGMENT IN RENDERING SERVICES. In providing any service hereunder which requires the exercise of judgment by AGLC, AGLC shall perform its services in accordance with written standards, guidelines and procedures USL develops, as appropriate, and communicates to AGLC. In performing any services hereunder, AGLC shall at all times act in a manner reasonably calculated to be in, or not opposed to, the best interests of USL.
EXERCISE OF JUDGMENT IN RENDERING SERVICES. In providing any services hereunder that require the exercise of judgment by G1001 Resources, G1001 Resources shall perform any such service in accordance with any standards and guidelines that GLAC develops and communicates to G1001 Resources. In performing any services hereunder, G1001 Resources shall at all times act in a manner reasonably calculated to be in or not opposed to the best interests of GLAC.
EXERCISE OF JUDGMENT IN RENDERING SERVICES. In providing any services hereunder which require the exercise of judgment by Lincoln, Lincoln shall perform any such service in accordance with any standards and guidelines LNY develops and communicates to Lincoln. In performing any services hereunder, Lincoln shall at all times act in a manner reasonably calculated to be in or not opposed to the best interests of LNY.
