Except for off Sample Clauses

Except for off the-shelf, non-customized programs and databases that are generally commercially available, Seller possesses or has access to documentation, including, without limitation, source codes for all Facility Software and Shared Software owned or used by it sufficient to continue to operate the Business. Upon consummation of the transactions contemplated by this Agreement, the Buyer will own all the Facility Software and will have a valid non-exclusive transferable perpetual and fully-paid up right and license to use all of the Shared Software owned by Seller immediately prior to the Closing, free and clear of all claims, liens, encumbrances, obligations and liabilities and, with respect to all agreements for the lease or license of Facility Software or Shared Software which require consents or other actions as a result of the consummation of the transactions contemplated by this Agreement in order for the Buyer to use and operate the same after the Closing Date, Seller will have obtained such consents or taken such other actions so required. Seller has fully paid up all licenses with respect to every third party software program utilized by each in the conduct of the Business.

Except for off. The-Shelf Internal Use Software, all licenses or other agreements under which the Seller or its Subsidiaries are granted rights by other Persons in Intellectual Property are included in the Designated Contracts and are listed in Section 5.8(h) of Schedule 1A ("Inbound Licenses"). All such licenses or other agreements are currently in effect, to the Knowledge of the Seller and its Subsidiaries, legal, valid, binding and enforceable, and upon consummation of the transactions contemplated hereby, will continue to be in effect on terms identical to those in effect immediately prior to the consummation of the transactions contemplated hereby, to the Knowledge of the Seller and its Subsidiaries, will be legal, valid, binding and enforceable, there is no material default thereof by Seller or its Subsidiaries, to the Knowledge of the Seller and its Subsidiaries, there is no material default thereof by any other party thereto, and all of the rights of the Seller and its Subsidiaries thereunder are assignable in connection with the transactions described herein. Neither Seller nor its Subsidiaries have received any notice that a Proceeding is pending or has been threatened, nor has any claim or demand been made, which challenges the legality, validity, or enforceability thereof or the right of Seller or its Subsidiaries to use and exercise such other rights in and to the Intellectual Property licensed thereunder in accordance with their respective terms. True and complete copies of all such licenses or other agreements, and any amendments thereto, have been provided to the Parent or its representatives. Except for the Off-The-Shelf Internal Use Software, no payment of royalties or other fees to a third party is necessary for the use, improvement, modification, license or distribution by the Seller or its Subsidiaries of the Intellectual Property listed in Section 5.8(h) of Schedule 1A in order for Seller and its Subsidiaries to conduct the Acquired Business as presently conducted.

  • Standard of Care, Limitation of Liability and Indemnification (a) The Sub-Adviser shall exercise its best judgment in rendering the services under this Agreement. The Sub-Adviser shall not be liable for any error of judgment or mistake of law or for any loss suffered by the Trust, the Adviser or the Fund, or affiliated persons of the Adviser or the Fund (collectively, the "Adviser Indemnitees") in connection with the matters to which this Agreement relates except a loss resulting from the Sub-Adviser's willful misfeasance, bad faith or gross negligence in the performance of its obligations and duties, or by reason of its reckless disregard of its obligations and duties, under this Agreement; provided, however, that nothing herein shall be deemed to protect or purport to protect the Sub-Adviser against any liability to the Adviser Indemnitees for, and the Sub-Adviser shall indemnify and hold harmless the Adviser Indemnitees from, any and all claims, losses, expenses, obligations and liabilities (including reasonable attorney's fees) to which any of the Adviser Indemnitees may become subject arising out of or resulting from (i) the Sub-Adviser causing the Fund to be in violation of any applicable federal or state law, rule or regulation or any investment policy or restriction set forth in the Fund's current Registration Statement or the most current written guidelines, policies or instruction provided in writing by the Board or the Adviser, (ii) the Sub-Adviser causing the Fund to fail to satisfy the requirements set forth in Section 2(i) hereof, (iii) any untrue statement of a material fact contained in the Registration Statement, proxy materials, reports, advertisements, sales literature, or other materials pertaining to the Sub-Adviser or the Portfolio managed by the Sub-Adviser or the omission to state therein a material fact known to the Sub-Adviser that was required to be stated therein or necessary to make the statements therein not misleading, if such statement or omission was made in reliance upon information furnished to the Adviser or the Trust by the Sub-Adviser for use therein, or (iv) a breach of this Agreement by the Sub-Adviser. In addition, the Sub-Adviser shall indemnify and hold harmless the Trust and the Fund from any and all claims, losses, expenses, obligations and liabilities (including reasonable attorney's fees) to which either the Trust or the Fund may become subject directly arising out of or resulting from a breach of fiduciary duty by the Sub-Adviser under Section 36(b) of the 1940 Act with respect to the receipt of compensation for its services under this Agreement. Notwithstanding the foregoing, nothing contained in this Agreement shall constitute a waiver or limitation of rights that the Trust or the Fund may have under federal or state securities laws.

  • Breach of Representations or Warranties Any representation or warranty made by the Borrower to the Lenders or the Administrative Agent under this Agreement, or any certificate or information delivered in connection with this Agreement, shall be false in any material respect when made or deemed made.
