All additional or different terms or conditions contained in either party's purchase orders, acknowledgments, invoices or other business forms shall be void and of no effect.

Entire Agreement; Governing Terms. This Agreement and the Exhibits constitute the entire agreement between the Parties with respect to the subject matter hereof, and cancels and supersedes any prior understanding and agreements between the Parties relating thereto. In the event that a conflict arises between this Agreement, any purchase order, any Exhibit, or any other document relating to a project developed under this Agreement, this Agreement shall govern and prevail, unless specific reference is made to the section of this Agreement that such purchase order, Exhibit, or document intends to modify and the extent of such modification and such modification is specifically agreed upon in writing by both Parties.
