Additional or Different Terms. Any rolling forecasts, purchase orders, confirmations, acceptances, advices and similar documents submitted by Luitpold in conducting the activities contemplated under this Agreement are for administrative purposes only and any legal terms that may be included on such forms shall not add to or modify the provisions of this Agreement. To the extent there are any conflicts or inconsistencies between this Agreement and any such document, the provisions of this Agreement shall control as to a particular order unless otherwise agreed to in writing by the Parties.

Additional or Different Terms. Each and every term and condition of this order is deemed to be of the essence. After acceptance, the terms contained in this order, with any attachments, will constitute the entire and only agreement of the parties and will supersede all prior discussions, representations, writings, oral agreements, and understandings, or any language in the acknowledgment or acceptance of Seller to the contrary. Any addition, change, modification of, revision, of, deletion of, or waiver of any of the terms and conditions of this order, irrespective of whether such different or additional terms and conditions materially alter this order; are expressly rejected unless specifically agreed to by the Buyer and Seller. Xxxxx's offer to purchase serves as his acknowledgment that any material change in quantities of an order or in requested destination may incur a price adjustment. This adjustment will be measured in the sole discretion of the Seller, with proper notice to the Buyer.

Any terms asserted by the Buyer in addition to or different from those set forth in the Agreement, whether contained in any purchase order form, or other document proposed by Buyer are hereby objected to and shall not become a part of the terms and conditions of purchase and sale between the parties unless Seller specifically assents in writing to their inclusion in accordance with the section governing amendments, modifications and waivers in the Agreement. Additional or Different Terms. These terms of sale are subject to any related agreement between JOM and the entity (or entities if there is a different ship-to entity) listed on the first page of this invoice (collectively the “Buyer”). Absent any such agreement, this instrument constitutes an offer by JOM to sell the items listed on this invoice (the “Products”) at the stated prices and subject to all terms stated in this invoice. The Buyer may not modify any terms of this offer, and JOM hereby objects in advance to any additional or different terms proposed by or on behalf of the Buyer in any instrument requesting or confirming this invoice. Acceptance by the Buyer of the Products will constitute an express waiver by the Buyer of any additional or different term that it had previously proposed. There are no audit rights under these terms of sale.
Additional or Different Terms. If Same Terms exist in both the Offer and the Acceptance, then a contract is created on the terms of the Offer and the Acceptance.

Additional or Different Terms. The terms and conditions set forth herein are the only terms and conditions upon which AJNW shall purchase the Products from Seller. Additional or conflicting terms or conditions contained in any quotation, order acknowledgment, delivery ticket, invoice, or other document furnished by Seller to AJNW are hereby objected to by AJNW, and shall not be binding upon AJNW, and shall not constitute part of the Agreement.
Additional or Different Terms. Without limiting the foregoing, any additional, contrary, or different terms contained in any Confirmation, invoices, or other communications, and any other attempt to modify, supersede, supplement, or otherwise alter this Agreement, are deemed rejected by Master Distributor and will not modify this Agreement or be binding on the Parties unless such terms have been fully approved in a signed writing by authorized Representatives of both Parties.
