Engagement of Consultant by Nominated Contractors. The Consultant: acknowledges that the Commonwealth may from time to time require the Consultant to be directly engaged by Nominated Contractors rather than the Commonwealth; and warrants that it will: immediately upon receiving a written request from the Commonwealth under this clause 2.8, enter into a standing offer or other contract with the Nominated Contractor nominated in the request on the terms attached to the request (which will be substantially similar to the terms of these Panel Conditions and the Terms of Engagement in Section 4, subject only to such changes as may be reasonably required by the Commonwealth to take account of the fact that it is a Nominated Contractor who will be engaging the Consultant); and comply with the terms of the standing offer or other contract which it enters into under subparagraph (i).

Where the Consultant agrees to being directly engaged by the Nominated Contractor under paragraph (i) or, having agreed to tender, is successful in its tender under paragraph (ii), it is intended that any resultant contract between the Consultant and the Nominated Contractor will be on the basis of the Proforma Services Subcontract, with only such amendments as approved in writing by the Commonwealth's Panel Manager and on the basis of the rates in the Schedule of Rates.

Where the Consultant agrees to being directly engaged by the Nominated Contractor under paragraph (a)(i) or, having agreed to tender, is successful in its tender under paragraph (a)(ii), it is intended that any resultant contract between the Consultant and the Nominated Contractor will be on the basis of: subject to paragraph (b)(ii), the Proforma Services Subcontract, with only such amendments as approved in writing by the Commonwealth's Panel Manager and on the basis of the rates in the Schedule of Rates; or if the relevant Service Category is Contamination Remediation Works or Unexploded Ordnance Remediation, the terms attached to the request or the tender (as the case may be) (which may include the Schedule of Rates to the extent applicable to the particular service). The Consultant must, as soon as practicable, provide written notice to the Commonwealth's Panel Manager: if it is approached by a Nominated Contractor as contemplated in paragraph (a)(ii); and after entering into a contract with a Nominated Contractor.

  • Consultant Personnel Consultant shall provide adequate, experienced personnel, capable of and devoted to the successful performance of the Services under this Agreement. Consultant agrees to assign specific individuals to key positions. If deemed qualified, the Consultant is encouraged to hire City residents to fill vacant positions at all levels. Consultant agrees that, upon commencement of the Services to be performed under this Agreement, key personnel shall not be removed or replaced without prior written notice to the City. If key personnel are not available to perform the Services for a continuous period exceeding 30 calendar days, or are expected to devote substantially less effort to the Services than initially anticipated, Consultant shall immediately notify the City of same and shall, subject to the concurrence of the City, replace such personnel with personnel possessing substantially equal ability and qualifications.

  • Contractor Employees, Subcontractors, and Other Agents The Customer and the State shall take all actions necessary to ensure that Contractor's employees, subcontractors and other agents are not employees of the State of Florida. Such actions include, but are not limited to, ensuring that Contractor's employees, subcontractors, and other agents receive benefits and necessary insurance (health, workers' compensations, and unemployment) from an employer other than the State of Florida.

  • Employee Who Acts as Representative Where an employee wishes to represent at a meeting with the Employer, an employee who has presented a grievance, the Employer will, where operational requirements permit, grant leave with pay to the representative when the meeting is held in the headquarters area of such employee and leave without pay when the meeting is held outside the headquarters area of such employee.

  • Engagement of Contractor 1.01 The Authority hereby engages the Contractor and the Contractor agrees to perform the services as set forth in Exhibit A which is herein incorporated by reference.
