Employment as President. The Corporation hereby offers and Employee hereby accepts employment as President of the Corporation and will perform the duties as may be directed from time to time by the Board of Directors of the Corporation. Employee will also use his best efforts to preserve the business of the Corporation and its affiliates and the goodwill of all employees, customers, suppliers and other persons having business relations with the Corporation and its affiliates. As used in this Agreement, "affiliates" will mean persons or entities that directly, or indirectly through one or more intermediaries, control or are controlled by, or are under common control with, the Corporation.

Employment as President. Before the Effective Date, the Board employed XxXxxxxxx as the President of the University, and the Parties mutually agree to separate and end XxXxxxxxx’x employment with the University on June 30, 2022. Accordingly, the Agreement shall terminate on June 30, 2022 (the “Contract Ending Date”).
Employment as President. During the Term of Employment (as defined below), Executive shall be employed and serve as President of the Company and shall have such duties and responsibilities commensurate with such title, and report directly to the Chief Executive Officer (“CEO”). Executive shall devote Executive’s best efforts to the performance of services to the Company and all of its affiliates and their operations. Executive shall devote Executive’s full business time, attention, energies and talents exclusively to the business of the Company and its affiliates and subsidiaries and to no other business, except with the Company’s written consent, which shall not be unreasonably withheld. Executive’s principal place of employment shall be at the Company’s headquarters in the Louisville, Kentucky metropolitan area, although Executive understands and agrees that Executive may be required to travel frequently for business reasons.
Employment as President. The Company hereby employs the Employee as the President of the Company upon the terms and subject to the conditions set forth in this agreement. The terms and conditions of this agreement shall be in addition to, and separate and apart from, the terms and conditions set forth in the Employment Agreement dated as of May 1, 1997, between the Company and the Employee regarding the Company's employment of the Employee as its Chairman of the Board and Chief Executive Officer.

  • Period of Employment The “Period of Employment” shall be a period of three (3) years commencing on the Effective Date and ending at the close of business on the third anniversary of the Effective Date (the “Termination Date”); provided, however, that this Agreement shall be automatically renewed, and the Period of Employment shall be automatically extended for one (1) additional year on the Termination Date and each anniversary of the Termination Date thereafter, unless either party gives written notice at least sixty (60) days prior to the expiration of the Period of Employment (including any renewal thereof) of such party’s desire to terminate the Period of Employment (such notice to be delivered in accordance with Section 18). The term “Period of Employment” shall include any extension thereof pursuant to the preceding sentence. Provision of notice that the Period of Employment shall not be extended or further extended, as the case may be, shall not constitute a breach of this Agreement and shall not constitute “Good Reason” for purposes of this Agreement. Notwithstanding the foregoing, the Period of Employment is subject to earlier termination as provided below in this Agreement.

  • Employment Duties The Company hereby employs the Executive for the Term (as defined in Section 2.1), to render exclusive (except as otherwise provided herein) and full-time services to the Company as Executive Vice President or in such other executive position as may be mutually agreed upon by the Company and the Executive, and to perform such other duties consistent with such position as may be assigned to the Executive by the Board of Directors or any officer of the Company senior to the Executive.

  • Employment Period Compensation In consideration of the other provisions of this Agreement, and the Executive’s agreement to execute a Release Agreement, substantially in the form attached hereto as Exhibit B, in the event of his termination under relevant circumstances pursuant to which he would be paid severance benefits, ESC shall provide the Executive with the following payments and benefits, both those set forth in this section and elsewhere in this Agreement:

  • Executive Director (a) The HMO must employ a qualified individual to serve as the Executive Director for its HHSC HMO Program(s). Such Executive Director must be employed full-time by the HMO, be primarily dedicated to HHSC HMO Program(s), and must hold a Senior Executive or Management position in the HMO’s organization, except that the HMO may propose an alternate structure for the Executive Director position, subject to HHSC’s prior review and written approval.

  • Vice Chairman In the absence of the Chairman of the Board, the Vice Chairman shall preside at all meetings of the Board of Directors and of the unitholders of the MLP; and he shall have such other powers and duties as from time to time may be assigned to him by the Board of Directors.

  • Term of Employment and Termination The Company and Executive acknowledge that Executive's employment is and shall continue to be at-will, as defined under applicable law, and that Executive's employment with the Company may be terminated by either Party at any time for any or no reason (subject to the notice requirements of this Section 4). This "at-will" nature of Executive's employment shall remain unchanged during Executive's tenure as an employee and may not be changed, except in an express writing signed by Executive and a duly authorized officer of the Company. The term of this Agreement and Executive’s employment hereunder shall commence on the Effective Date and continue until terminated as set forth in this Section 4. The date on which Executive’s employment terminates, as determined by the Company, regardless of the reason, shall be referred to herein as the “Separation Date.” Upon termination of Executive's employment for any reason, Executive shall be deemed to have resigned from all offices and directorships, if any, then held with the Company or any of its subsidiaries.
