Employment and Effective Date a) The Effective Date of this Agreement (the “Effective Date”) is the date of execution and delivery by the Company and the Executive.
Employment and Effective Date. The Company hereby employs Employee as the President and Chief Executive Officer of Bancshares and Bank, and Employee hereby accepts such employment, on the terms and conditions set forth below, to perform during the term of the Agreement such services as are required hereunder. The effective date of this Agreement shall be the date of execution by both parties hereof; provided, however, that the term shall commence January 1, 2006. (See paragraph 3.1, below.)

(“Novume” or the “Parent”) closes on its reorganization agreement with KeyStone Solutions, Inc. (“KeyStone”) and Brekford Corp., as contemplated by the Letter of Intent and Preliminary Term Sheet dated December 5, 2016, as filed with the Securities and Exchange Commission by KeyStone on December 7, 2016, and as approved by the Board of Directors of the Parent (the “Board”). The Effective Date is the date on which this Agreement first becomes binding on the Company and the Executive.
Employment and Effective Date a) The effective date of the Agreement was December 23, 2016 (the “Agreement Effective Date”), the date on which KeyStone Solutions closed on the sale of its Series A Preferred Stock resulting in gross proceeds to KeyStone Solutions as approved by the Board of Directors of KeyStone Solutions (the “KeyStone Board”). The Agreement Effective Date is the date on which the Agreement first became binding on KeyStone Solutions and the Executive.

Executive shall also serve as Chief Executive Officer of Xxxxx of Xxxx and agrees to serve in such additional positions as are reasonably assigned to the Executive by the Company and the Board of Directors (the “Board”) of Xxxxx of Xxxx, from time to time, during the Term (as defined below). Executive accepts such employment and such appointments, on the terms and subject to the conditions set forth in this Agreement. The effective date of this Agreement shall be March 1, 2019 (the “Effective Date”) Until the Effective Date, except as provided in Section 4(g), neither the Company nor Executive shall have any obligations hereunder and the Company shall have no obligation to provide any compensation or benefit or make any payment under this Agreement. 2.

As of the Effective Date, the Employer hereby continues to employ the Employee, and the Employee hereby accepts his continued employment by the Employer, as President and Chief Executive Officer of the Employer, upon the terms and conditions set forth herein.
