Preliminary Term Sheet definition

Preliminary Term Sheet means the preliminary term sheet dated August 21, 2006 attached hereto as Exhibit A.
Preliminary Term Sheet means a “written communication” within the meaning of Rule 405 under the Act that describes the Notes and/or the Mortgage Loans and contains information described in paragraphs (1) – (3) of the definition of ABS Informational and Computational Materials in Item 1101(a) of Regulation AB but which does not include Derived Information.

The Underwriter shall maintain records of any conveyance of Derived Information to potential or actual investors and shall maintain such records as required by the Regulations. Neither the Company nor the Underwriter shall disseminate or file with the Commission any information relating to the Offered Certificates in reliance on Rule 167 or 426 under the Securities Act, nor shall the Company or the Underwriter disseminate any Free Writing Prospectus in a manner reasonably designed to lead to its broad unrestricted dissemination within the meaning of Rule 433(d) under the Securities Act. Each Free Writing Prospectus shall bear the applicable legends specified in Exhibit B.
