Duplicate Orders. The Intermediary acknowledges that ITWS will not systematically prevent the duplicate transmission of Orders to Vanguard. In the event of any duplicate transmission of an Order to Vanguard, the Intermediary will promptly reimburse Vanguard, the VVIF Portfolios, and, as applicable, the Separate Accounts and/or Policy owners, for any costs or losses incurred in association with the subsequent cancellation of the duplicate Order.

Duplicate Orders. The Contractor shall make a reasonable effort to identify VDDHH-TAP consumers that have received VDDHH- TAP equipment more than once during the life of the contract. If such duplication is found, the Contractor shall first determine if the coupon has a special eligibility code identifying the consumer as being eligible to receive additional equipment. If there are no special codes on the coupon, the Contractor shall notify the VDDHH-TAP Manager immediately via facsimile transmission for approval to disseminate the equipment. Examples of the special eligibility codes are as follows: • XXXXXN: New, First-time applicant. • XXXXXE: Exchange of equipment due to deterioration of hearing or vision. • XXXXXR: Replacement of equipment due to “natural disaster” damage. • XXXXXI: Incompatible equipment exchange. • XXXXXF: Four year renewal allowance • XXXXXC: Continuance – applicant has requested a reissue or change in equipment selection. • XXXXXT: Third renewal applicant

  • Duplicate Originals The parties may sign any number of copies of this Indenture. Each signed copy shall be an original, but all of them together represent the same agreement.

  • Amendment of Material Documents No Loan Party will, nor will it permit any Subsidiary to, amend, modify or waive any of its rights under (a) any agreement relating to any Subordinated Indebtedness, or (b) its charter, articles or certificate of organization or incorporation and bylaws or operating, management or partnership agreement, or other organizational or governing documents, to the extent any such amendment, modification or waiver would be adverse to the Lenders.

  • Access to Review Materials The Servicer will give the Asset Representations Reviewer access to the Review Materials for all of the Subject Receivables within sixty (60) calendar days after receipt of the review notice in one or more of the following ways in the Servicer’s reasonable discretion: (i) by electronic posting of Review Materials to a password-protected website to which the Asset Representations Reviewer has access, (ii) by providing originals or photocopies of documents relating to the Subject Receivables at one of the properties of the Servicer or (iii) in another manner agreed by the Servicer and the Asset Representations Reviewer. The Servicer may redact or remove PII from the Review Materials so long as all information in the Review Materials necessary for the Asset Representations Reviewer to complete the Asset Review remains intact and unchanged.

  • Supply Agreements For a period of three years from the consummation of the IPO, Odetics shall not unilaterally terminate or assign its guarantee obligation with respect to any supply agreement pursuant to which it has guaranteed the performance by ATL of ATL's obligations, unless such suppliers have consented to the termination or assignment of such guarantee.
