Purchaser acknowledges that pursuant to four (4) separate Access Agreements dated July 8, 2014, one with each Seller (the “Access Agreements”), each Seller has delivered or made available the following documents and those documents listed on Exhibit B, to the extent such items presently exist and are in such Seller’s possession (“the Property Information”).
Due Diligence Materials To Be Delivered. To the extent such items (a) are in the possession of (i) Seller, (ii) Grubx & Xllix Xxxagement Services, Inc. ("Grubx & Xllix"), or (iii) the Asset Manager (as defined herein) and (b) are not otherwise subject to any confidentiality agreements and/or other restrictions prohibiting their disclosure to Purchaser, Seller shall deliver to Purchaser the following (the "Property Information") on or before the Property Information Delivery Date:
Due Diligence Materials To Be Delivered. No later than three (3) Business Days following the Effective Date, Sellers shall deliver to Purchaser (or provide Purchaser with access to an electronic data room containing) copies of the documents, materials and information listed on Schedule 4.1 attached hereto (collectively, the “Property Information”) with respect to the Companies and the Properties to the extent such items exist and are in the possession or control of Sellers, the Companies or the Companies’ property or construction managers (other than information that is confidential or within the purview of the attorney-client privilege or the attorney work-product doctrine), and thereafter each Seller shall update such deliveries in accordance with Section 6.4(h). Each Seller shall use, or shall cause the Company owned by such Seller to use, reasonable efforts to cause the consultant(s) that prepared the Environmental Reports for the Property owned by such Seller’s Company, and any consultant that prepared or prepares any other report with respect to such Property for Seller or such Company, to deliver to Purchaser a reliance letter permitting Purchaser to rely on such reports in form and content reasonably acceptable to Purchaser, provided that, if any such consultant requires the payment of a fee or charge for the issuance of a reliance letter, such Seller shall not be obligated to deliver such reliance letter to Purchaser unless Purchaser pays such fee or charge.
Due Diligence Materials To Be Delivered. To the extent in Seller’s or Property Manager’s possession, Seller shall deliver, or cause to be delivered, or has delivered, or provided on a data site established by the Seller (the “Data Site“), to Purchaser the documents and information listed on Exhibit B attached hereto (collectively, the “Property Information“) on or before the Information Delivery Date.
