Disclosure is Required. If the Receiving Party is requested pursuant to, or required by, applicable law or regulation or by legal process to make any disclosure otherwise prohibited hereunder, it shall provide the Disclosing Party with prompt notice of such requests or requirements prior to disclosure so that (a) the Disclosing Party (with the reasonable cooperation of the Receiving Party) may seek an appropriate protective order or other remedy and/or (b) the parties can seek in good faith to agree on the appropriate scope and approach to disclosure.
