Demise of Facility. The Company hereby demises and leases the Facility to the Agency and the Agency hereby rents and leases the Facility from the Company upon the terms and conditions of this Lease Agreement.
Demise of Facility. The Agency hereby leases the Facility, consisting of the Land as particularly described in Exhibit A and Exhibit A-1 attached hereto, the Improvements and the Equipment as particularly described in Exhibit B attached hereto, to the Company and the Company hereby takes the Facility from the Agency upon the terms and conditions of this Lease Agreement.

Demise of Facility. The Issuer hereby agrees to lease the Facility, consisting of the Land, as more particularly described in Exhibit A attached hereto, to the Institution upon the terms and conditions of this Lease Agreement.

Demise of Facility. Landlord hereby demises and leases the ------------------ Facility and the Equipment to Tenant and Tenant hereby hires and leases the Facility and the Equipment from Landlord upon the terms and conditions of this Lease Agreement.

The Agency hereby transfers, leases and demises to the Company all its right, title and interest in and to a certain Lease to Agency, dated as of the date hereof ("Lease Agreement") by and between the Company and the Agency, a copy of which is attached hereto as Exhibit A, whereby the Company granted to the Agency a leasehold interest in the Wellness Center Land as more particularly described in Schedule A hereto, including any buildings, structures or improvements thereon constituting the Facility and the Company hereby rents and leases the Facility from the Agency upon the terms and conditions of this Leaseback Agreement. Pursuant to Section 5.2 of the Lease Agreement, the Company and Agency contemplate potentially amending the Lease Agreement to exclude certain portions of the Wellness Center Land, and cooperating and taking whatever other actions are reasonable and necessary, to accommodate future development of the Wellness Center Land, including, without limitation, the Company 60310-016v8 potentially leasing, subleasing, transferring or assigning whole or portions of the Facility or Wellness Center Land to third parties. The Company and Agency shall contemporaneously with amendment of the Lease Agreement, amend this Leaseback Agreement to exclude any portion of the Wellness Center Land ·excluded under a future amendment of the Lease Agreement, and cooperate and take whatever other actions are reasonable and necessary to accommodate future development of the Wellness Center Land hereunder.
