Delegated Tasks Sample Clauses
Delegated Tasks. The Parties agree that as set forth in ¶145 of Order ▇▇. ▇▇▇, ▇▇▇▇ and WECC Compliance registration criteria, and any other applicable orders, an entity registered with NERC and charged with the performance of a function remains responsible for Compliance with Reliability Standards for that function, even if the performance of certain tasks is delegated to other entities. Thus, the Parties acknowledge and agree that to ensure clarity in identifying, establishing and delegating responsibility for Compliance for the transmission facilities within the CAISO Balancing Authority Area identified in Appendix 1, the Parties delegate such Compliance responsibilities in this Agreement as set forth in the Schedules attached hereto.
Delegated Tasks. The Delegating Parties acknowledge that PNM is their agent to perform the Delegated Tasks. PNM agrees to undertake, as agent of the Delegating Parties, the responsibility for performance of the Delegated Tasks in accordance with this Agreement.
A. The Parties will promptly and diligently supply one another with all the information, data and logistical support that may be reasonably required, or as the Parties may agree from time to time, in order for the Parties to perform their respective Delegated Tasks and other obligations under this Agreement, as applicable. Such information shall include, but not be limited to, copies of any reports or Periodic Data Submittals made by any Party to a Compliance Enforcement Authority, any attestation of Self-Certification, or any assessment of an incident requiring Self-Reporting in connection with one or more Delegated Tasks. Each Party agrees to promptly designate a resource person specifically responsible for ensuring the full performance of its obligations under this Agreement. Nothing in this Agreement shall constitute a waiver by any Party of its right to enforce confidentiality provisions of any other agreement among the Parties.
B. PNM shall provide a compliance status update to the Delegating Parties, as necessary or reasonably requested, identifying any current issues relating to its compliance with the Reliability Standards applicable to the San ▇▇▇▇ Project, and will provide prompt notification to the Delegating Parties if any compliance issues or questions arise.
C. The Delegating Parties acknowledge that NERC or WECC may make additions or modifications to the Reliability Standards from time to time, as approved by the Commission. To simplify the process necessary to respond to such changes and to avoid the need for multiple amendments to this Agreement, the Delegating Parties agree that tasks under such new or modified Reliability Standards shall constitute Delegated Tasks unless otherwise advised in writing by PNM.
