Deferred Tax Liability. In the event Stockholders elect installment sales treatment in respect of the Purchase Price Adjustment hereunder, Stockholders shall notify Dxxxx of such election no later than December 31, 2000. The Purchase Price shall be subject to upward adjustment for (and Dxxxx shall pay to Stockholders promptly following notification from Stockholders of the amount thereof, but in any event not later than five (5) Business Days prior to the due date of the payment of such amount) an amount equal to (i) the interest imposed under IRC Section 453A (if any) on Stockholders' deferred tax liability relating to the sale of the Shares and (ii) any Taxes imposed with respect to the receipt of any payments pursuant to this Section 2.4. In addition, following a final determination that the installment sales method to the Stockholders is not available with respect to any portion of the Purchase Price received after the close of the taxable year in which the Closing Date occurs, Dxxxx shall pay to the Stockholders or on their behalf any penalty and interest owing in respect thereof within five (5) Business Days prior to the due date of the payment of such amount.

The consent of such other Parties shall not be withheld unreasonably and shall be deemed to be obtained in the event that a Party (or its Subsidiary) is required to file an amended Tax Return as a result of an Audit adjustment that arose in accordance with Article IX.
