Cooperation in Securities Filings. Sierra Norte shall provide such information regarding Sierra Norte, its business, its officers, directors and affiliates, as is reasonably required by PocketSpec for purposes of preparing any notices, reports and other filings with the Commission.
Cooperation in Securities Filings. Purchaser(s) acknowledge that Issuer may take steps to comply with Regulation D and Rule 506, including without limitation the filing of SEC Form D, and to comply with applicable state Blue Sky laws and regulations, including without limitation the filing of any applications, registrations, forms or notices as may be required under applicable laws or regulations. Purchaser(s) agree to diligently and promptly cooperate with Issuer's efforts in connection with all such filing and compliance by providing such information and documents, if any, as Issuer may require from time to time in connection with the foregoing.
Cooperation in Securities Filings. Ikona shall provide such information regarding Ikona, its business, its officers, directors and affiliates, as is reasonably required by Oban for purposes of preparing any notices, reports and other filings with the SEC. Moreover, following the Closing, the current officer and director of Oban shall provide such information as the post-closing management of Oban shall reasonably request for the purpose of preparing any notices, reports and other filings by Oban with the SEC, including but not limited to, in connection with the preparation of any financial statements required to be filed under the Exchange Act or Securities Act by Oban.
Cooperation in Securities Filings. BMTS shall provide such information regarding BMTS, its business, its officers, directors and affiliates, as is reasonably required by CET for purposes of preparing any notices, reports and other filings with the SEC. Moreover, following the Closing, the current officers and directors of BMTS shall provide such information as the post-closing management of CET shall reasonably request for the purpose of preparing any notices, reports and other filings by CET with the SEC, including but not limited to, in connection with the preparation of any financial statements required to be filed under the Exchange Act or Securities Act by CET.
Cooperation in Securities Filings. Vairex shall provide such information regarding Vairex, its business, its officers, directors and affiliates, as is reasonably required by Guardian for purposes of preparing any notices, reports and other filings with the Commission.
Cooperation in Securities Filings. DCI shall provide such information regarding DCI, its business, its officers, directors and affiliates, as is reasonably required by SKYLYNX for purposes of preparing any notices, reports and other filings with the SEC. Moreover, following the Closing, the current officers and directors of DCI shall provide such information as the post-closing management of SKYLYNX shall reasonably request for the purpose of preparing any notices, reports and other filings by SKYLYNX with the SEC, including but not limited to, in connection with the preparation of any financial statements required to be filed under the Exchange Act or Securities Act by SKYLYNX.
Cooperation in Securities Filings. RJL shall provide such information regarding RJL, its business, its officers, directors and affiliates, as is reasonably required by Guardian for purposes of preparing any notices, reports and other filings with the SEC. Moreover, following the Closing, J. Xxxxxx Xxxxxx, the Chief Executive Officer and Chief Financial Officer of Guardian, and Black Mountain Holdings (as hereinafter defined) and its auditor (and the current auditor of Guardian) shall provide such information as RJL shall reasonably request for the purpose of preparing any notices, reports and other filings by Guardian with the SEC, including but not limited to, in connection with the preparation of any financial statements required to be filed under the Exchange Act or Securities Act by Guardian and shall provide reasonable access to the books and records of Black Mountain Holdings (as hereinafter defined) and its Affiliates solely to enable Guardian to comply with its SEC periodic and other filing requirements. Guardian shall be responsible for any fees, expenses or other charges billed or assessed by Guardian's auditor for complying with RJL's request for information.
Cooperation in Securities Filings. Infinivive shall provide such information regarding Infinivive, its business, its officers, directors and affiliates, as is reasonably required by Vitro for purposes of preparing any notices, reports and other filings with the SEC. Moreover, following the Closing, the current officers and directors of Infinivive shall provide such information as the post- closing management of Vitro shall reasonably request for the purpose of preparing any notices, reports and other filings by Vitro with the SEC, including but not limited to, in connection with the preparation of any financial statements required to be filed under the Exchange Act or Securities Act by Vitro.
Cooperation in Securities Filings. BlueStream shall provide such information regarding BlueStream, its business, its officers, directors and affiliates, as is reasonably required by XML for purposes of preparing any notices, reports and other filings with the Commission.
