Conveyance of Property to Lessee. Upon the purchase of Lessor's rights in the Property by Lessee pursuant to Article 12, Lessor shall convey to Lessee or its designee (i) such Property by a deed with a warranty against grantor's acts and (y) all rights, title and interest of Lessor in and to any Net Proceeds (if any), with respect to the Property, free and clear of (i) all Lessor Liens but with no other representation or warranty of any kind and (ii) the Liens created by any loan or mortgages placed on the Property by Lessor.
