Contract Price and Ceiling Amounts. The Contract Price comprises prices for audits and fees and reimbursable expenses related to the options as detailed in Appendix 3 within the limits of the Ceiling Amounts specified. All amounts are net of value-added tax (VAT) and include all other customs duties, taxes and charges. In Appendix 3, the Consultant has estimated the value-added tax (VAT) that the Ser- vices will be subject to. Appendix 3 forms the total estimated budget for payment for audits and fees and reimbursable expenses related to the options under the Agreement. Cost related to audits and fees or reimbursable expenses related to the option not listed in Appendix 3 shall not be remunerated by the Client but shall be deemed covered by the Consult- ant's overhead. The Client shall make no remuneration whatsoever for audits and/or fees and reimbursable ex- penses related to the options in excess of the Contract Price or the Ceiling Amounts. Modifications to the Contract Price must be agreed by using Appendix 6, cf. Article IV. Realloca- tion of amounts between Ceiling Amounts shall be subject to the Client’s prior written approval (but does not have to be agreed by using Appendix 6 or a written addendum duly signed by both Parties).
