Common use of CONTENTS OF REQUEST FOR PROPOSAL AND PROPOSAL Clause in Contracts

CONTENTS OF REQUEST FOR PROPOSAL AND PROPOSAL. CONSULTANT is bound by the contents of DISTRICT's Request for Proposal, Exhibit D hereto and incorporated herein by this reference, and the contents of the proposal submitted by the CONSULTANT, Exhibit E hereto. In the event of conflict, the requirements of DISTRICT's Request for Proposals and this Agreement shall take precedence over those contained in the CONSULTANT's proposals. The incorporation of the CONSULTANT’s proposal shall be for the scope of services to be provided only, and any other terms and conditions included in such proposal shall have no force and effect on this Agreement or the relationship between CONSULTANT and/or DISTRICT, unless expressly agreed to in writing.
