Commercially Reasonable Efforts to Close. (a) Subject to the terms and conditions hereof, each party hereto covenants and agrees to use all commercially reasonable efforts to consummate the transactions contemplated hereby and will fully cooperate with the other parties hereto for such purpose.
Commercially Reasonable Efforts to Close. The Company and Purchasers will each use commercially reasonable efforts in good faith to take, or cause to be taken, all actions, and to do, or cause to be done, all things necessary under applicable Laws so as to permit consummation of the transactions contemplated hereby as promptly as practicable and otherwise to enable consummation of the transactions contemplated hereby and shall cooperate reasonably with the other parties hereto to that end.
Commercially Reasonable Efforts to Close. Subject to the terms and conditions provided herein, each of the Parties agrees to use its Commercially Reasonable Efforts to close, consummate and make effective the Transactions, and for the satisfaction of all other conditions to Closing set forth herein that it is required to satisfy (or to cause to be satisfied) to proceed with Closing.
Commercially Reasonable Efforts to Close. (a) If notice of the Closing is given by the Company to the Investor pursuant to Section 1.2(a), the Investor agrees to use its commercially reasonable efforts in good faith to take, or cause to be taken, all actions, and to do, or cause to be done, all things necessary, proper or desirable, or advisable under applicable laws, so as to permit consummation of the transactions contemplated hereby as promptly as practicable and otherwise to enable consummation of the transactions contemplated hereby and shall cooperate fully with the other parties hereto to that end, including in relation to the satisfaction of the conditions to Closing set forth in Sections 1.2(c), (d) and (e) and cooperating in seeking to obtain any consent required from Governmental Entities.
Commercially Reasonable Efforts to Close. Subject to the terms and conditions provided in this Agreement, each of the parties hereto shall use reasonable best efforts to take promptly, or cause to be taken promptly, all actions, and to do promptly, or cause to be done promptly, all things necessary, proper or advisable under applicable Laws to consummate and make effective the Transactions as promptly as practicable, including by using commercially reasonable efforts to take all action necessary to satisfy all of the conditions to the obligations of the other party or parties hereto to effect the Transactions.
Commercially Reasonable Efforts to Close. During the period commencing on the date hereof and terminating on the earlier to occur of (a) the Closing, and (b) the termination of this Agreement in accordance with Section 6.15 (the “Pre-Closing Period”), the Company (subject to any limitations set forth in the Merger Agreement) and the Purchaser will use their respective commercially reasonable efforts in good faith to take, or cause to be taken, all actions, and to do, or cause to be done, all things necessary under applicable Laws so as to permit consummation of the transactions contemplated hereby as promptly as practicable and otherwise to enable consummation of the transactions contemplated hereby and shall cooperate reasonably with the other party to that end, including in relation to the satisfaction of the conditions to Closing set forth in Sections 1.3(a), (b) and (c).
Commercially Reasonable Efforts to Close. (a) Subject to the terms and conditions hereof, each party hereto covenants and agrees to use all commercially reasonable efforts to consummate the transactions contemplated hereby and will fully cooperate with the other parties hereto for such purpose. (b) Each party agrees to immediately notify the other parties of any event, fact or circumstance of which such first party becomes aware that could reasonably be expected to result in the failure of a condition set forth in Article VIII or Article IX to be satisfied prior to the Closing Date and, if such condition is curable, to allow the applicable party a reasonable opportunity to satisfy such condition. ARTICLE V
Commercially Reasonable Efforts to Close. From the date of this Agreement until the Closing Date and subject to the terms and conditions of this Agreement, the Parties shall use commercially reasonable efforts to take all actions and do all things necessary, proper or advisable in order to consummate and make effective the transactions contemplated by this Agreement (including the satisfaction, but not waiver, of the conditions to Closing set forth in Article III).
Commercially Reasonable Efforts to Close. (a) During the period commencing on the date of the execution of this Agreement and continuing until the Closing Date, Purchaser and Seller shall comply in all material respects at the earliest practicable date with any formal or informal request for information received by it or any of their respective Affiliates from any governmental entity pursuant to and in connection with the transactions contemplated by this Agreement, provided, however, that neither Purchaser nor Seller has any obligation to take actions pursuant to Subsections 6.2(a) beyond those described in Subsection 6.2(b) below.
Commercially Reasonable Efforts to Close. Each of the Parties shall use commercially reasonable efforts to satisfy, or to cause to be satisfied, all conditions to such Party's obligation to close the transactions contemplated hereby that are reasonably within the control of such Party. If all of the conditions to a Party's obligation to close hereunder shall have been satisfied, such Party shall diligently proceed to close.
