Commercially Reasonable Efforts to Close. (a) Subject to the terms and conditions hereof, each party hereto covenants and agrees to use all commercially reasonable efforts to consummate the transactions contemplated hereby and will fully cooperate with the other parties hereto for such purpose.

Commercially Reasonable Efforts to Close. The Company and Purchasers will each use commercially reasonable efforts in good faith to take, or cause to be taken, all actions, and to do, or cause to be done, all things necessary under applicable Laws so as to permit consummation of the transactions contemplated hereby as promptly as practicable and otherwise to enable consummation of the transactions contemplated hereby and shall cooperate reasonably with the other parties hereto to that end.
Commercially Reasonable Efforts to Close. Subject to the terms and conditions provided herein, each of the Parties agrees to use its Commercially Reasonable Efforts to close, consummate and make effective the Transactions, and for the satisfaction of all other conditions to Closing set forth herein that it is required to satisfy (or to cause to be satisfied) to proceed with Closing.

Commercially Reasonable Efforts to Close. From the date of this Agreement until the Closing Date and subject to the terms and conditions of this Agreement, the Parties shall use commercially reasonable efforts to take all actions and do all things necessary, proper or advisable in order to consummate and make effective the transactions contemplated by this Agreement (including the satisfaction, but not waiver, of the conditions to Closing set forth in Article III).
Commercially Reasonable Efforts to Close. (a) During the period commencing on the date of the execution of this Agreement and continuing until the Closing Date, Purchaser and Seller shall comply in all material respects at the earliest practicable date with any formal or informal request for information received by it or any of their respective Affiliates from any governmental entity pursuant to and in connection with the transactions contemplated by this Agreement, provided, however, that neither Purchaser nor Seller has any obligation to take actions pursuant to Subsections 6.2(a) beyond those described in Subsection 6.2(b) below.

If all of the conditions to a Party's obligation to close hereunder shall have been satisfied, such Party shall diligently proceed to close.
