Closing Fees, Expenses. The Administrative Agent shall have received for its own account all fees due and payable pursuant to Section 3.11 (Fees) and all reasonable costs and expenses (including reasonable and documented legal fees and expenses) for which invoices have been presented, in each case, required to be paid on or before the Restatement Effective Date.

Closing Fees, Expenses. Satisfactory arrangements for payment of all fees and expenses due and payable and all reasonable costs and expenses, including pursuant to Sections 2.05 and 11.03 and the Fee Letters, in each case required to be paid on or before the Closing Date.

The Administrative Agent shall have received (a) for the account of the Existing Lenders and the Issuing Lender with respect to the Existing Credit Agreement, in each case, all accrued fees through the Closing Date and all fees otherwise payable to the Existing Lenders and such Issuing Lender pursuant to Section 3.3 of the Existing Credit Agreement, (b) for the account of the Existing Lenders, all amounts payable to the Existing Lenders through the Closing Date pursuant to Section 4.5 of the Existing Credit Agreement (after giving effect to the termination of the Interest Periods (as defined in the Existing Credit Agreement) applicable to the Revolver Loans under (and as defined in) the Existing Credit Agreement on the Closing Date, and the Borrower hereby acknowledges such termination of such Interest Periods), and (c) for its own account, or for the account of each Lender and JPMCB, as the case may be, all fees due and payable pursuant to Sections 3.3 and 10.3, and all other costs and expenses for which invoices have been presented.
Closing Fees, Expenses. The Borrower shall have paid the reasonable fees and disbursements of Cahixx Xxxxxx & Xeinxxx xxxurred in connection with this Agreement.
