City Note. The Parties acknowledge that the indebtedness for the Loan as evidenced by the City Note shall be paid solely from sources and in the manner described in Section 2 hereof. Insufficiency of the tax increment to pay the principal of and interest on the City Note as due or the inability of the City to issue Mill Site Project Bonds in an amount sufficient to pay the principal of and interest on the Loan shall not constitute an Event of Default or result in the acceleration of any amounts due and owing under the Note Resolution or this Agreement.

City Note. Subject to the terms and conditions of this Agreement, including but not limited to this Section 4.03 and Section 5 hereof, the City hereby agrees to issue the City Note to the Developer on the Closing Date in an amount equal to the cost of the TIF-Funded Improvements which have been incurred by Developer as of the Closing Date. The City shall increase the principal amount of the City Note as the costs of additional TIF-Funded Improvements are incurred by the Developer. The principal amount of the City Note shall not exceed the amount of TIF-Funded Improvements which have been incurred by the Developer and are to be reimbursed by the City through payments of principal and interest on the City Note, subject to the provisions hereof; provided, however, that the maximum principal amount of the City Note shall be an amount not to exceed the lesser of $1,500,000 or 13.7% of the actual total Project costs; and provided, however, that payments under the City Note are subject to the amount of Available Incremental Taxes deposited into the TIF Fund being sufficient for such payments. From the date of issuance of the Certificate, the City Note will be funded solely from Available Incremental Taxes. Interest on the City Note will only begin to accrue upon the issuance of the Certificate.
