Change of Senior Lender. (a) A Senior Lender may:
Change of Senior Lender. A Senior Lender may assign any of its rights and benefits or transfer any of its rights, benefits and obligations in respect of any Debt Documents or the Liabilities if such assignment or transfer is in accordance with the terms of the Credit Agreement.
Change of Senior Lender of the Intercreditor Agreement. In consideration of the New Lender being accepted as a Senior Lender for the purposes of and as defined in the Intercreditor Agreement, the New Lender confirms that, as from the Transfer Date, it intends to be party to the Intercreditor Agreement as a “Senior Lender” (as defined in the Intercreditor Agreement), and undertakes to perform all the obligations expressed in the Intercreditor Agreement to be assumed by a Senior Lender (as defined in the Intercreditor Agreement) and agrees that it shall be bound by all the provisions of the Intercreditor Agreement, as if it had been an original party to the Intercreditor Agreement as a Senior Lender (as defined in the Intercreditor Agreement).
