Certificate of Status of Foreign Corporation. Parent shall have received a Certificate of Status of Foreign Corporation of the Company from the applicable Governmental Entity in each jurisdiction where it is required to be qualified to do business, all of which are dated within two (2) Business Days prior to the Closing.
Certificate of Status of Foreign Corporation. Purchaser shall have received a Certificate of Status of Foreign Corporation of the Company from the applicable Governmental Entity in each jurisdiction where the failure to be so qualified would have a Company Material Adverse Effect, all of which are dated within five (5) Business Days prior to the Closing.
Certificate of Status of Foreign Corporation. Surf Air shall have received a certificate of status of foreign corporation or equivalent certificate of the Company from the applicable Governmental Entity in each jurisdiction in which it is qualified to do business.

The Company shall deliver to Parent and Merger Sub a Certificate of Status of Foreign Corporation of the Company and each of its Subsidiaries from the applicable Governmental Entity in each jurisdiction where it is required to be qualified to do business, all of which are dated within five days prior to the Closing.

Mariposa US shall have received a Certificate of Status of Foreign Corporation of Mariposa Australia from the applicable Governmental Entity in each jurisdiction listed in Schedule 5.2(l), all of which are dated within three (3) Business Days prior to the Closing.
Certificate of Status of Foreign Corporation. The Company shall deliver a Certificate of Status of Foreign Corporation of the Company from the applicable Governmental Entity in each jurisdiction where it is required to be qualified to do business, other than with respect to The Netherlands.
Certificate of Status of Foreign Corporation. The Company and each of the Proxima Subsidiaries shall deliver a Certificate of Status of Foreign Corporation or similar document from the applicable Governmental Entity in each jurisdiction where it is required to be qualified to do business, all of which are dated within 7 days prior to the Closing.
Certificate of Status of Foreign Corporation. Parent shall have received a Certificate of Good Standing from the Secretary of State of the State of California and the Franchise Tax Board and a Certificate of Good Standing from the applicable Governmental Entity in each jurisdiction where it is required to be qualified to do business, all of which are dated within two (2) Business Days prior to the Closing.
Certificate of Status of Foreign Corporation.
