Conditions to the Obligations of Parent and Merger Sub. The obligations of Parent and Merger Sub to consummate the Merger are subject to the satisfaction or waiver (where permissible) of the following additional conditions:

The obligations of Parent and Merger Sub to consummate the transactions contemplated by this Agreement shall be subject to the satisfaction, or waiver in writing by Parent or Merger Sub, at or prior to Closing of each of the following conditions:

Conditions to the Obligations of Parent and Merger Sub. Subject to waiver as set forth in Section 8.04, the obligations of Parent and Merger Sub to consummate the Merger are also subject to the satisfaction at or prior to the Closing Date of the following conditions:

Conditions to the Obligations of Parent and Merger Sub. The obligations of Parent and Merger Sub to consummate the Merger are subject to the satisfaction or, if permitted by applicable Legal Requirements, waiver of the following further conditions:
Conditions to the Obligations of Parent and Merger Sub. Sections 9.3, 9.6 and 9.8 of the Merger Agreement are hereby amended by adding the following sentence to the end of each such Section: "Satisfaction of the foregoing shall not be a condition to Parent and Merger Sub's obligations under the Merger Agreement, provided there has been Consummation of the Offer."
Conditions to the Obligations of Parent and Merger Sub. The obligations of Parent and Merger Sub hereunder to consummate the transactions contemplated hereby shall be subject at their election to the satisfaction of each of the conditions stated in this Article IX.
