Cease Trade Order or Other Investigation. From the date of this Agreement to the earlier of: (i) the Closing Date; and (ii) the termination of this Agreement, the Company will immediately notify the Guarantors in writing of any written demand, request or inquiry (formal or informal) by any Commission, the Exchange or other Governmental Entity that concerns any matter relating to the Company's affairs that may affect the Rights Offering or the transactions contemplated in this Agreement, or that relates to the issuance, or threatened issuance, by any such authority of any cease trading or similar order or ruling relating to any of the Company's securities. Any notice delivered to the Guarantors as aforesaid will contain reasonable details of the demand, request, inquiry, order or ruling in question.

From the date hereof through the earlier of: (i) the Rights Offering Closing Date; and (ii) the termination of the Agreement in accordance with its terms, it will immediately notify Glencore in writing of any written demand, request or inquiry (formal or informal) by any of the Securities Authorities of the NYSE MKT or SEC or other Governmental Entity that concerns any matter relating to the affairs of PolyMet that may affect the Rights Offering, the transactions contemplated herein, or any other matter contemplated by the Agreement, or that relates to the issuance, or threatened issuance, by any such authority of any cease trading or similar order or ruling relating to any securities of PolyMet. Any notice delivered to Glencore as aforesaid will contain reasonable details of the demand, request, inquiry, order or ruling in question. PolyMet will use its best efforts to prevent the issuance of any orders contemplated in this Section 3.1(e) and, if issued, to obtain their prompt withdrawal.

From the date hereof through the earlier of the Closing Date and the date of termination of this Agreement, CDB will immediately notify the Standby Purchaser in writing of any written demand, request or inquiry (formal or informal) by any Securities Commission, the TSXV, or other Governmental Entity that concerns any matter relating to the affairs of CDB that may affect the Rights Offering, the transactions contemplated herein, or any other matter contemplated by this Agreement, or that relates to the issuance, or threatened issuance, by any such authority of any cease trading or similar order or ruling relating to any securities of CDB.

Any notice delivered to the Standby Purchaser pursuant to this Section 3.1(f) will contain reasonable details of the notice, demand, request, inquiry, correspondence, order or ruling in question. Postmedia will use all reasonable efforts to prevent the issuance of any orders contemplated in this Section 3.1(f) and, if issued, to obtain their prompt withdrawal.

From the date hereof through the earlier of (i) the Release Date, and (ii) the termination of this Subscription Agreement, it will immediately notify the Subscriber in writing of any written demand, request or inquiry (formal or informal) by any Securities Commission, the TSX or other Governmental Entity that concerns any matter relating to the affairs of the Corporation that may affect the transactions contemplated herein and in the other Transaction Agreements, or any other matter contemplated by this Subscription Agreement, or that relates to the issuance, or threatened issuance, by any such authority of any cease trading or similar order or ruling relating to any securities of the Corporation. Any notice delivered to the Subscriber pursuant to this Section 8(c) will contain reasonable details of the notice, demand, request, inquiry, correspondence, order or ruling in question. The Corporation will use all reasonable efforts to prevent the issuance of any orders contemplated in this Section 8(c) and, if issued, to obtain their prompt withdrawal.

Any notice delivered to the Standby Purchaser as aforesaid will contain reasonable details of the demand, request, inquiry, order or ruling in question.

PERC will use best efforts to prevent the issuance of any orders contemplated in this Section 3.1(f) and, if issued, to obtain their prompt withdrawal.

From the date hereof through the earlier of (i) the Closing Date and (ii) the termination of this Agreement, it will promptly notify the Standby Purchaser in writing of any notice, written demand, request, inquiry or other correspondence (in each case, both formal or informal) by any Securities Commission, the TSX or other Governmental Entity (x) that concerns any matter relating to the affairs, securities, directors or officers of WEF that may affect the Rights Offering or any other transaction contemplated herein, or (y) that relates to the issuance, or threatened or contemplated issuance, by any such Person of any order suspending or preventing the use of the Prospectus or any cease trading or similar order or ruling relating to any securities of WEF. Any notice delivered to the Standby Purchaser pursuant to this Section shall contain reasonable details of the notice, demand, request, inquiry, correspondence, order or ruling in question. WEF shall use all reasonable efforts to prevent the issuance of any orders contemplated in this Section 4.1(e) and, if issued, to obtain their prompt withdrawal.

From the date hereof through the earlier of (i) the Closing Date and (ii) the termination of this Agreement, it will immediately notify COM Canada in writing of any written demand, request or inquiry (formal or informal) by any Securities Commission, the SEC, the TSX or other Governmental Entity that concerns any matter relating to the affairs of Microcell that may affect the Rights Offering, the transactions contemplated herein, or any other matter contemplated by this Agreement, or that relates to the issuance, or threatened issuance, by any such authority of any cease trading or similar order or ruling relating to any securities of Microcell. Any notice delivered to COM Canada as aforesaid shall contain reasonable details of the demand, request, inquiry, order or ruling in question.
